6.1 B Page 7 11.6 Primary Coveraqe. For any claims related to the Services and this Agreement, the Consultant's insurance coverage wilf be primary insurance with respec# to City, its off�cers, agents, voiunteers and employees. Any insurance or self-insu�ance maintained by City for itself, ifis officers, agents, volunteers and employees, will be in excess of Consuftant's insurance and not contributory with it. �1.7 Reduction in Coverage/Ma#erial Ghanges. Consultant wi�l no�ify City th�rty (3�} days prior to any reduction in any of the insurance co�e�age required pursuant to this Agreement or any material changes fo the respective �nsurance policies. 12. Business License. Consultant will obtain and maintain a City of Redwood City Business License for the term of the Agreement, as may be amended frorn �ime-to-time. 'I 3. Maintenance of Records. Cvnsu�tant will maintain^complete and accurate records with respect to costs incurred under this Agreement. All records wiif be clearly identif�able. Cor.sultant will allow a representat�ve of City during normal business hours �o examine, audit, and make transcripts or copies of records and any ather docurnents created pursuant to fihis Agreement. Cvnsultant wi11 allow inspection of all work, data, documents, proceedings, and ac�ivities relafied to the Agreement for a period of three (3} years from the date of fina� payment under�his Agreement. 'i4. Ownership �f Documents. A�I work product produced by Consultant or its agents, employees, and subcontractors pursuanfi fio this Agreement is #he property af City. In the event fihis Agreement is terminated, all work product produced by Consultant or its agents, employees and subcontractors pursuant to this Agreemen�wil� be delivered to Gi�y pursuanf to the termination clause of this Agreement. Consul#ant agrees that all copyrights that arise from fihe Seniices will be vested in City and �onsultant refinquishes al€ claims to the copyrights in fa�or of Cifiy. 16. Notices.
