<br />Recycling <br /> <br />"Recycling" means the process of sorting, cleansing, treating and reconstituting materials that <br />would otherwise be disposed of at a landfill for the purpose of returning such materials to the <br />economy in the form of raw materials for new, reused or reconstituted products. <br /> <br />Recyclable Materials <br /> <br />"Recyclable Materials" means discarded materials that can be re-used, remanufactured, <br />reconstituted, or recycled. <br /> <br />Related Party Entity <br />"Related Party Entity" means any Affiliate which has a financial transaction with Contractor <br />pertaining to this Agreement. <br /> <br />Request for Proposals (RFP) <br /> <br />"Request for Proposals" means the document released by the Authority in November 2007 <br />inviting proposals to operate the Shoreway Center and including the following addenda which <br />Contractor acknowledges receiving: Addendum One, issued November 1, 2007; Addendum <br />Two, issued January 4, 2008; Addendum Three, issued January 25, 2008; Addendum Four, <br />issued January 29, 2008; Addendum Five, issued February 1, 2008; Addendum Six, issued <br />February 29, 2008. <br /> <br />Residue or Residual <br />"Residue" means any unmarketable material that results from the processing of materials <br />received at the MRF. <br /> <br />Revenue <br /> <br />"Revenue" means any and all compensation in any form earned by Contractor from the sale or <br />other transfer of Recyclable Materials, Organic Materials and other materials delivered to the <br />Shoreway Center. <br /> <br />Revenue Guarantee <br /> <br />"Revenue Guarantee" means the minimum dollar amount identified in Section 7.07 which <br />Contractor is obligated to pay Authority for a Rate Year, irrespective of the amount of Revenue <br />earned in that Rate Year. <br /> <br />SBWMA <br />"SBWMA" means the Authority. <br /> <br />SBWMA Service Area <br /> <br />"SBWMA Service Area" means the geographic area within and, where applicable, outside the <br />Member Agencies' combined jurisdictional boundaries wherein the Member Agencies exercise <br />franchising authority for the collection of Solid Waste, Recyclable Materials, and Organic <br />Materials, as those boundaries are currently drawn or as they may be changed through <br />annexations or the addition of new Member Agencies. <br /> <br />SBWMA Facility Operations Agreement, Attachment 1 <br />Definitions <br /> <br />Page 8 of 10 <br />1967648.2 <br />
