REV: 06-22-2021 MI <br />ADDENDUM NO. 1 TO REIMBURSEMENT AGREEMENT <br />BY AND BETWEEN THE CITY OF REDWOOD CITY AND <br />REGIS HOMES BAY AREA <br />This Addendum No. 1 to Reimbursement Agreement (“Addendum”) is dated for <br />informational purposes only as of the day of , 2021 by and <br />between the CITY OF REDWOOD CITY, a charter city and California municipal corporation <br />(“City”), and REGIS HOMES BAY AREA, (“Developer”) (referred to herein individually as <br />“Party,” or collectively, the “Parties”). <br />RECITALS <br />A. City and Developer entered into a Reimbursement Agreement for on or about June 4, <br />2021 (“Agreement”). <br />B. The Agreement provides that Developer will be solely responsible for all costs and <br />expenses incurred relating to Developer’s Project, located at 505 East Bayshore Road, <br />including but not limited to the costs of preparing an Environmental Impact Report. <br />C. City has retained or will be retaining the firm Fehr & Peers to conduct an emergency <br />access and evacuation analysis (“Study”) for the Environmental Impact Report for the <br />Project. <br />D. There is another project application pending in the City submitted by Syufy Enterprises <br />located at 557 E. Bayshore Road (“Syufy Project”) that also requires an emergency <br />access and evacuation analysis for its Environmental Impact Report. <br />E. The scope of the Study, as stated in the proposal from Fehr & Peers dated June 3, 2021, <br />includes both the Project and the Syufy Project. Developer and Syufy Enterprises have <br />agreed to split the costs of the Study equally. <br />AGREEMENT <br />1.EMERGENCY ACCESS AND EVACUATION ANALYSIS. Developer shall <br />be responsible for 50% of the costs of the Study as proposed by Fehr & Peers in its proposal <br />dated June 3, 2021. Any changes to the scope of the Study that result in additional fees or costs <br />may be split between Developer and Syufy Enterprises if both entities consent in writing to the <br />cost sharing and the proportion of the additional fees or costs that each entity will bear. <br />2.GENERAL PROVISIONS. <br />a.Remainder Unchanged. Except as specifically modified and amended in this <br />Addendum, the Agreement remains in full force and effect and binding upon the parties. <br />b.Integration. This Addendum constitutes the entire understanding and agreement <br />of the parties and supersedes all negotiations or previous agreements between the parties with <br />respect to all or any part of the transaction discussed in this Addendum. <br />ATTY/AGR.2021/Addendum No. 1/Regis Homes Bay Area (Page 1 of 3)
