REV: 07-20-21 SK <br />appropriate without further employment of or payment of any compensation to Program <br />Administrator. <br />15. Maintenance of Records. Program Administrator will maintain complete and <br />accurate records with respect to costs incurred under this Agreement. All records will be <br />clearly identifiable. Such records will not be Deliverables prepared for City and will be <br />Program Administrator Documents for purposes of this Agreement. Nothing herein will <br />convert such records into public records, and they will be available only to City and any <br />specified public agencies. Program Administrator will allow a representative of City during <br />normal business hours to examine, audit, and make transcripts or copies of records and <br />any other documents created pursuant to this Agreement. Program Administrator will <br />allow City to inspect of all work, data, documents, proceedings, and activities related to <br />the Agreement for a period of three (3) years from the date of final payment under this <br />Agreement. <br />16. Copyrights. Program Administrator agrees that all copyrights that arise from the <br />Services will be vested in City, and Program Administrator relinquishes all claims to the <br />copyrights in favor of City. <br />17. Notices. Each party will notify the other immediately <br />of any changes of address that would require any notice or delivery to be directed to <br />another address. <br />18. Conflict of Interest. If disclosure under the Political Reform Act and City’s Conflict <br />of Interest Code is required of Program Administrator or any Program Administrator <br />Personnel, Program Administrator or Program Administrator Personnel will complete and <br />file with the City Clerk the Statement of Economic Interests Form 700. <br />Program Administrator, for Program Administrator and on behalf of all Program <br />Administrator Personnel, warrants by execution of this Agreement that they have no <br />interest, present or contemplated, in the projects affected by this Agreement.
