REV: 07-01-22 RL <br />AMENDMENT NO. 5 TO AGREEMENT FOR SERVICES <br /> (BeingLab, LLC) <br />This Amendment No. 5 (the “Amendment No. 5”) is entered into and effective as <br />of ________________, by and between the City of Redwood City, a charter city and <br />municipal corporation of the State of California (“City”), and BeingLab, LLC, a California <br />limited liability company (“Consultant”) (collectively, the “Parties”). <br />RECITALS <br />A. The Parties previously executed that certain Agreement for Services, dated <br />as of May 28, 2021, (the “Original Agreement”). <br />B. The Parties previously executed Amendment No. 1 to the Original <br />Agreement (“Amendment No. 1”), dated as of July 7, 2021. <br />C. The Parties previously executed Amendment No. 2 to the Original <br />Agreement (“Amendment No. 2”), dated as of November 24, 2021. <br />D. The Parties previously executed Amendment No. 3 to the Original <br />Agreement (“Amendment No. 3”), dated as of January 25, 2022. <br />E. The Parties previously executed Amendment No. 4 to the Original <br />Agreement (“Amendment No. 4”), dated as of March 17, 2022 (the Original Agreement <br />and Amendment No. 1, Amendment No. 2, Amendment No. 3, Amendment No. 4 and <br />Amendment No. 5 are collectively known as the “Agreement”). <br />F. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 5, incorporated herein by reference. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. City will pay Consultant a not-to-exceed amount of Five Thousand Dollars <br />($5,000) for the completion of all the services, which sum will include all costs or expenses <br />incurred by Consultant. Including all amendments through Amendment No. 5, the total <br />amount payable under the Agreement will be a not-to-exceed amount of Thirty Six <br />Thousand Seven Hundred Dollars ($36,700). <br /> <br />2. All other provisions of the Agreement will remain in full force and effect. <br />3. All requisite insurance policies to be maintained by Consultant pursuant to <br />the Agreement will include coverage for this Amendment No. 5. <br />ATTY/AGR.2022/Amend.
