REV: 07-22-22 RL <br />AMENDMENT NO. 1 TO AGREEMENT FOR SERVICES <br /> AMS Systems, Inc. <br />This Amendment No. 1 (the “Amendment No. 1”) is entered into and effective as <br />of September 16, 2022, by and between the City of Redwood City, a charter city and <br />municipal corporation of the State of California (“City”), and AMS Systems, Inc. dba AMS <br />Printing, a California corporation (“Contractor”) (collectively, the “Parties”). <br />RECITALS <br />A. The Parties previously executed that certain Agreement for Services, dated <br />as of September 16, 2021 (the “Agreement”). <br />B. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 1. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. City will pay Contractor a not-to-exceed amount of Forty-Five Thousand <br />Dollars ($45,000) for the completion of all the services described in Exhibit “A”, which sum <br />will include all costs or expenses incurred by Contractor. Including all amendments <br />through Amendment No. 1, the total amount payable under the Agreement will be a not- <br />to-exceed amount of Ninety Thousand Dollars ($90,000). <br /> <br />2. Unless terminated earlier, the term of this Amendment No. 1 will be a period <br />of one year from the effective date of this Amendment No. 1. Including all amendments, <br />through Amendment No. 1, the total term of this Agreement is two years from the Effective <br />Date of this Agreement. <br />3. Contractor will complete all work described in Exhibit “A” by September 15, <br />2023, provided that the City may grant extensions consistent with the extension <br />provisions set forth in the Agreement. <br />4. All other provisions of the Agreement will remain in full force and effect. <br />5. All requisite insurance policies to be maintained by Contractor pursuant to <br />the Agreement will include coverage for this Amendment No. 1. <br />6. The individuals executing this Amendment No. 1 and the instruments <br />referenced in it on behalf of the Parties each represent and warrant that they have the <br />legal power, right and actual authority to bind their Party to the terms and conditions of <br />this Amendment No. 1. <br />ATTY/AGR.2022/Amend.
