EXHIBIT" A"

SCOPE OF SERVICES AND FEE

Our current agreement for the Redwood City Saltwork Peer Review process fulfills the
terms of the contract with the submission of the three summary reports to the City that
respond to the three Tier One Issues of Water, Transportation and Jurisdictional review.
As part of the City's next steps in the processing of this application, you and the
applicant have determined that the Tier One Reports be presented to the City Council in
a study session in early February. You have requested that our Peer Review Team
assist you in the process of developing a power point presentation and related materials
as well as attendance at the City Council study session.

We anticipate a number of steps to reach this goal:

Step One: Assistance in developing the study session council presentation that
is a summary of the Tier One summary reports. This step includes developing
the necessary content and diagrams and the graphic development of the
presentation itself.

Step Two: Review of the council presentation with the RMT at respective internal
team work sessions as well as follow-up edits and other adjustments to get the
show in place.

Step Three: Communications with the City planning staff, City Manager and
communication consultant as a team, including review of materials to be
submitted to the City Council in advance of the meeting, review and assistance
with the staff report and weekly conference call meetings of the RMT to
coordinate the work and communication efforts.

Step Four: Final review meeting and rehearsal with the RMT in preparation for
the study session with the City Council.

Step Five: Attendance by the consultant team (as needed) at the City Council
study session, including key presentations by team members (including Whit
Manley, Dave Smith and / or Robert Eckols) At this time that session is
scheduled for February 1, 2010.

In addition to the above steps, there are a variety of requests for additional meetings,
work sessions and deliverables that are not all known at this point, but are characteristic
of this type of City process. We have built in an allowance for dealing with these
requests that extends beyond Steps One thru Five described above. Fees cited below
are therefore approximate estimates and may be readjusted among the team members
as the work assignments become more defined.
