Any titles of the articles, sections or subsections of this Agreement are inserted for <br />convenience of reference only and shall be disregarded in construing or interpreting any part of <br />its provision. <br />Section 9.6 General Indemnification. <br />The Developer agrees to indemnify, protect, hold harmless and defend (by counsel <br />reasonably satisfactory to the City) the Indemnified Parties, from all suits, actions, claims, causes <br />of action, costs, demands, judgments and liens arising out of the Developer's performance or <br />non-performance under this Agreement, or any other agreement executed pursuant to this <br />Agreement, or arising out of acts or omissions of any of the Developer's contractors, <br />subcontractors, or persons claiming under any of the aforesaid, except as directly caused by the <br />City's willful misconduct or gross negligence. The provisions of this Section shall survive <br />expiration of the Term or other termination of this Agreement, and shall remain in full force and <br />effect. <br />Section 9.7 Applicable Law. <br />This Agreement shall be interpreted under and pursuant to the laws of the State of <br />California. <br />Section 9.8 No Brokers. <br />Each party represents to the other that it has not had any contact or dealings regarding the <br />Property, or any communication in connection with the subject matter of this transaction, <br />through any real estate broker or other person who can claim a right to a commission or finder's <br />fee except as agreed to in writing by the City and the Developer. If any broker or finder makes a <br />claim for a commission or finder's fee based upon a contact, dealings, or communications, the <br />party through whom the broker or finder makes this claim shall indemnify, defend with counsel <br />of the indemnified party's choice, and hold the indemnified party harmless from all expense, loss, <br />damage and claims, including the indemnified party's attorneys' fees, if necessary, arising out of <br />the broker's or finder's claim. The provisions of this Section shall survive expiration of the Term <br />or other termination of this Agreement, and shall remain in full force and effect. <br />Section 9.9 Severability. <br />If any term, provision, covenant or condition of this Agreement is held by a court of <br />competent jurisdiction to be invalid, void or unenforceable, the remainder of the provisions shall <br />continue in full force and effect unless the rights and obligations of the parties have been <br />materially altered or abridged by such invalidation, voiding or unenforceability. <br />Section 9.10 Legal Actions, Venue. <br />In the event any legal action is commenced to interpret or to enforce the terms of this <br />Agreement or to collect damages as a result of any breach thereof, the venue for such action shall <br />be the Superior Court of the County of San Mateo.
