breach thereof, the party prevailing in any such action shall be entitled to recover against the <br />party not prevailing all reasonable attorney's fees and costs incurred in such action. <br />Section 9.11 Binding Upon Successors. <br />(a) This Agreement shall be binding upon and inure to the benefit of the heirs, <br />administrators, executors, successors in interest and assigns of each of the parties hereto except <br />that there shall be no Transfer of any interest by any of the parties hereto except pursuant to the <br />terms of this Agreement. Any reference in this Agreement to a specifically named party shall be <br />deemed to apply to any successor, heir, administrator, executor or assign of such party who has <br />acquired an interest in compliance with the terms of this Agreement, or under law. <br />(b) The covenants and restrictions set forth in this Agreement shall run with <br />the land, and shall bind all successors in title to the Property. However, on the termination of <br />this Agreement, such covenants and restrictions shall expire. Each and every contract, deed, or <br />other instrument hereafter executed covering or conveying the Property shall be held <br />conclusively to have been executed, delivered, and accepted subject to such covenants and <br />restrictions, regardless of whether such covenants or restrictions are set forth in such contract, <br />deed, or other instrument, unless the City expressly releases the Property from the requirements <br />of this Agreement. <br />Section 9.12 Parties Not Co -Venturers. <br />Nothing in this Agreement is intended to or does establish the Parties as partners, co - <br />venturers, or principal and agent with one another. <br />Section 9.13 Time of the Essence. <br />In all matters under this Agreement, the parties agree that time is of the essence. <br />Section 9.14 Action by the City. <br />Except as may be otherwise specifically provided in this Agreement or another City <br />Document, whenever any approval, notice, direction, finding, consent, request, waiver, or other <br />action by the City is required or permitted under this Agreement or another City Document, such <br />action may be given, made, or taken by the City Manager, or by any person who shall have been <br />designated in writing to the Developer by the City Manager, without further approval by the City <br />Board. Any such action shall be in writing. <br />Section 9.15 Representations and Warranties. <br />(a) The Developer hereby represents and warrants to the City as follows: <br />(1) Organization.
