REV: 01-24-22 VR <br />AMENDMENT TO SOIL IMPORTATION AGREEMENT <br />(City Parcel) <br />This AMENDMENT TO SOIL IMPORTATION AGREEMENT (“Amendment”) is <br />dated January 24, 2021 by and between CITY OF REDWOOD CITY, a charter city and <br />municipal corporation (“Owner” or “City”) and COUNTY OF SAN MATEO, a political <br />subdivision of the State of California (“County”). <br />WHEREAS, City and County (collectively, “Parties”) are parties to a Soil <br />Importation Agreement dated November 24, 2021. Parties jointly wish to amend their <br />Agreement as follows: <br />Paragraph 2(a) is amended to read in full as follows: <br />This License shall become effective on November 29, 2021 (“Effective Date”), and, <br />unless sooner terminated by Owner following a default by County, shall terminate <br />on the sooner of (i) Owner’s acceptance of the completed Soil Work, (ii) February <br />24, 2022 or (iii) the Exchange Closing (the “Term”). <br />All other provisions of the Soil Importation Agreement remain unchanged. This <br />Amendment may be executed electronically and/or in one or more counterparts.
