REV: 07-28-22 JB <br />AMENDMENT NO. 1 TO AGREEMENT FOR SERVICES <br /> Verde Design <br />This Amendment No. 1 (the “Amendment No. 1”) is entered into and effective as <br />of ______________, 2022, by and between the City of Redwood City, a charter city and <br />municipal corporation of the State of California (“City”), and Verde Design, a California <br />corporation (“Consultant”) (collectively, the “Parties”). <br />RECITALS <br />A. The Parties previously executed that certain Agreement for Services with <br />Verde Design, dated as of November 10, 2021, (the “Original Agreement”). <br />B. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 1, including any terms and conditions of the attached Exhibit <br />A, incorporated herein by reference. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. Consultant will provide the additional services set forth in Exhibit “A”, and <br />such services will be considered part of the Services for purposes of the Agreement. <br />2. City will pay Consultant a flat-rate amount of Fifty One Thousand Nine <br />Hundred Dollars ($51,900) for the completion of all the services described in Exhibit “A”, <br />which sum will include all costs or expenses incurred by Consultant. Including all <br />amendments through Amendment No. 1, the total amount payable under the Agreement <br />(including this Amendment No. 1) will be a flat-rate amount of One Hundred One <br />Thousand Eight Hundred Dollars ($101,800). <br /> <br />3. All other provisions of the Original Agreement will remain in full force and <br />effect. <br />4. All requisite insurance policies to be maintained by Consultant pursuant to <br />the Original Agreement will include coverage for this Amendment No. 1. <br />5. The individuals executing this Amendment No. 1 and the instruments <br />referenced in it on behalf of Consultant each represent and warrant that they have the <br />legal power, right and actual authority to bind Consultant to the terms and conditions of <br />this Amendment No. 1. <br />ATTY/AGR.2022/Amend.
