Maintenance of Interconnection. <br />A. City Responsibility. The City, at its sole cost, will be responsible for maintaining and <br />repairing all pipelines, valves, and related water system appurtenances for the City <br />side of the portable booster connection. <br />B. Cal Water Responsibility. Cal Water, at its sole cost, will be responsible for <br />maintaining and repairing all pipelines, valves, and related water system <br />appurtenances up to the Cal Water side of the portable booster connection. <br />C. Sale of Water. The City and Cal Water each agree to sell water to the other, upon <br />request, in cases of Emergency or for Maintenance needs, through the <br />Interconnection in accordance with this Section. For purposes of this Agreement, an <br />Emergency is an unforeseen event that causes a temporary outage of potable water <br />to either Cal Water or City, such as a natural disaster, contaminated water, or a major <br />pipeline break. Maintenance may include, but is not limited to, seismic retrofitting, <br />infrastructure testing, upgrade or replacement, or other work on either Party’s <br />water system facilities. <br />D. Manner of Request for Water. <br />i. If either Party requires water because of an Emergency or Maintenance <br />need, the Requester (“Requester”) will request to obtain water from the <br />other Party (“Supplier”). <br />ii. The Supplier will provide water to the Requester to the extent Supplier has <br />water available in view of its circumstances and demands at that time as <br />determined by the Supplier in its sole discretion. In all circumstances, the <br />Requester will provide the Supplier with a written, e-mail or verbal request <br />for water with as much advance notice as possible given the circumstances. <br />Requests for water for Maintenance shall be delivered to the addressees <br />listed in Section 20 of this Agreement in advance of Requester’s use. <br />Requests for water for Emergency needs shall be permitted by telephone, e- <br />mail or in-person. <br />E. Obligation to Supply Water is Limited. The Requester shall not operate the Supplier’s <br />water system appurtenances, such as valves or hydrants without the other Party’s <br />written approval. The obligation of each Party to supply water hereunder is limited: <br />(1) to surplus water above and beyond that required to service the needs of the <br />Supplier’s regular customers as determined by the Supplier in its sole discretion, and <br />(2) to a reasonable period of time to alleviate the Emergency or Maintenance. The <br />Supplier shall provide written consent to the Requester prior to the delivery of <br />water, and representatives of each Requester and Supplier may require that they be <br />present during the commencement and cessation of delivery of water. <br />F.
