4 |P a g e <br />AT T Y/AGR /2022.014.09/T R I-P AR T YAGR EEM EN T <br />R EV:01-25-2022VR <br />11.ELECTRONIC SIGNATURE: Both Licensor and Licensee wish to permit this Agreement <br />and future documents relating to this Agreement to be digitally signed in accordance with <br />California law and San Mateo County’s Electronic Signature Administrative Memo. Any <br />party to this Agreement may revoke such agreement to permit electronic signatures at any <br />time in relation to all future documents by providing notice pursuant to this Agreement. <br />12.CANCELLATION: Either party to this Agreement may cancel the Agreement without <br />cause by giving no less than thirty (30) days prior written notice of such cancellation to the <br />other party. <br />13.DEFAULT AND TERMINATION FOR CAUSE:If Sublicensee defaults in the performance <br />of any of the covenants or conditions of this Agreement, County shall give Sublicensee <br />notice of such default and if Sublicensee does not cure any such default within three (3) <br />days after the giving of such notice, then County may either terminate this Agreement <br />forthwith or continue this Agreement in full force and effect for such time as County wishes, <br />provided however if the default cannot be cured within three (3) business days, <br />Sublicensee shall not be in default if Sublicensee promptly initiates good faith efforts to <br />cure such default. Upon County’s election to terminate this Agreement due to default, <br />Sublicensee shall immediately quit and surrender the Property to County. If this <br />Agreement is so terminated by County, County may at any time thereafter resume <br />possession of the Sublicense Area by any lawful means and remove Sublicensee or other <br />occupants and their effects. County’s obligations to perform under this Agreement shall <br />immediately terminate if for any reason its rights to occupancy under the Amended and <br />Restated License Agreement are terminated. <br />14.SURRENDER AND HOLDOVER:At the expiration of this Agreement or the termination <br />thereof in any manner, Sublicensee shall surrender and deliver up the Sublicense Area in <br />as good order and condition as the same were upon commencement of the Agreement, <br />or in which they may be put during the term hereof or any renewals or extensions hereof, <br />reasonable wear, tear and use excepted. Sublicensee agrees to remove at its own <br />expense upon expiration or other termination of this Agreement, any fixed improvements <br />or personal property installed or otherwise placed in the Sublicense Area by Sublicensee, <br />unless County grants Sublicensee permission in writing for the improvements or property <br />to remain in the Sublicense Area, in which case title to such items shall be deemed to vest <br />in County. <br />15.WAIVER:The waiver by either party of any provision of this Agreement at any time shall <br />not be deemed to constitute any future waiver. Either party may strictly enforce the <br />provisions of this agreement at any time irrespective of past conduct.
