Tozzini shall provide Gian Tozzini with a copy of this Agreement, notifying Gian Tozzini that he shall not allow Douglas Tozzini to have access to or control over said firearms. The transfer, custody, control, possession, transportation, and other actions associated with said firearms carried out pursuant to this Agreement shall be in compliance with all applicable federal, state, and local laws. Tozzini will pay all fees and complete all forms associated with the transfer and sale of the firearms. 2. Indemnification. Tozzini will defend, indemnify and hold harmless City and its officers, agents, employees and volunteers from and against all claims, damages, losses and expenses including attorney fees arising out of a violation of this Agreement, caused in whole or in part by the willful misconduct or any negligent act or omission of Tozzini, Gian Tozzini, or Douglas Tozzini, except where caused by the sole negligence or willful misconduct of City. 3. Term. This Agreement shall be unlimited as to amount or duration, and it shall be binding upon and inure to the benefit of the parties, their successors, assigns and personal agents and representatives. 4. Notices. The name of the persons who are authorized to give written notices or to receive written notice on behalf of City and on behalf of Tozzini under this Agreement. Jurisdiction and Venue. Any action at law or in equity brought by either of the Parties for the purpose of enforcing a right or rights provided for by this Agreement will be tried in a court of competent jurisdiction in the County of San Mateo, State of California, and the Parties waive all provisions of law providing for a change of venue in these proceedings to any other county. 6. Entire_ _Agreement. This Agreement, together with any other written document referred to or contemplated by it, along with the purchase order for this Agreement and its provisions, embody the entire Agreement and understanding between the parties relating to the subject matter of it.
