LEASE AGREEMENT <br />(Shelter) <br />This Lease Agreement ("Lease") is made and entered into as of the effective date <br />specified in Section 3 of the Basic Lease Information above ("Effective Date"), by and between <br />the CITY OF REDWOOD CITY, a California charter city and municipal corporation ("Landlord"), <br />and the COUNTY OF SAN MATEO, a political subdivision of the State of California ("Tenant"). <br />1. PREMISES. <br />1.1 Premises; License. Landlord hereby leases to Tenant, and Tenant leases from <br />Landlord, the Premises, including without limitation the buildings, and all infrastructure on the <br />Property (collectively, the "Improvements"). <br />1.2 Landlord's Reserved Rights. Landlord reserves the right to enter the Property <br />or the Premises upon reasonable notice to Tenant (except that advance notice shall not be <br />required in case of an emergency) for the following purposes: (i) to inspect the condition of the <br />Property or the Premises; (ii) to ascertain the performance by Tenant of the terms and conditions <br />hereof; (iii) to respond to an emergency at the Property; (iv) to maintain, inspect and repair the <br />Premises to the extent required or permitted under this Lease; (v) to post notices of non - <br />responsibility for alterations, additions or repairs undertaken by Tenant; and (vi) to perform any <br />other right or duty of Landlord under this Lease. Landlord may exercise this right of entry without <br />any abatement of Rent to Tenant for any loss of occupancy or quiet enjoyment of the Premises. <br />2. TERM. <br />2.1 Term. The "Initial Term" of this Lease shall be as set forth in Section 7 of the <br />Basic Lease Information. The Initial Term shall commence as of the Commencement Date set <br />forth in Section 7 of the Basic Lease Information and expire on the Expiration Date set forth in <br />Section 7 of the Basic Lease Information. The Initial Term, together with any extension or renewal <br />term(s), are collectively referred to herein as the "Term." <br />2.2 Early Termination. Notwithstanding the Initial Term described in Section 2.1 <br />above, Tenant may, in its sole option, elect to terminate this Lease before the Expiration Date at <br />any time pursuant to this Section 2.2 (the "Early Termination Option"). Tenant may exercise <br />the Early Termination Option at any time with at least 30 days written notice to Landlord as <br />otherwise provided in this Lease, which specifically says it is an "Early Termination Notice Under <br />Lease" and identifies an early termination date which is at least 30 days after the effectiveness of <br />the written notice as otherwise provided in this Lease. No such early termination will relieve <br />Tenant of any obligation accruing before the early termination date or which would otherwise <br />survive expiration or termination of the Lease or result in a reduction or abatement of any Rent <br />otherwise due. <br />1 <br />REV: 01-21-2022 SK <br />ATTY/AGR.2022.010.2/City- County Land Swap (Page 7 of 34) <br />
