REV: 06-22-22 RL c) In the event Community Partner is contacted by a member of the media regarding this program, Community Partner agrees to notify HAMO, and if appropriate, direct media inquiries to HAMO. 12)Independent agreement. This agreement is considered an independent agreement, separate from all previous, existing or future agreements related to HAMO’s other programs, executed between HAMO and Community Partner. 13)Liability. Community Partner hereby releases HAMO, its directors, officers, employees, agents, and affiliates (collectively, the “HAMO Parties”) from any damage, liability, cost or expense which directly or indirectly arises from the donated diapers or other donated goods. HAMO offers no express or implied warranties in relation to the diapers or other goods or their donation. Community Partner also agrees to indemnify and hold harmless the HAMO Parties from and against any and all losses, damages, costs, expenses, liabilities or other obligations due to or arising out of or in any way connected to any action, suit, claim, proceeding, arbitration, governmental inquiry or investigation pending or threatened at law or in equity which directly or indirectly arises from the donated diapers or other donated goods. 14)Termination. Either party may terminate this Agreement by giving 30 days’ notice to the other party. In the event of a material breach of this agreement, the non-breaching party may terminate this Agreement for cause immediately by giving written notice to the breaching party. 15)Good faith partnership. All parties agree to work in good faith to maintain the integrity of the partnership and its guidelines set forth in this Agreement. 16)Renewal. This Agreement will expire on June 30, 2023.
