REV: 04-20-2022 RL <br />EXHIBIT “A” <br />SCOPE OF SERVICES <br />1. The Site. <br />For purposes of this Agreement, the Site shall refer to the Jefferson Underpass in Redwood <br />City, CA depicted in the attached photograph herein in Exhibit A. <br />2. Scope of Services. <br />Artist shall use the City Council approved rendering design, organize and apply mural art to <br />the Jefferson Underpass wall. The mural art of Jefferson Underpass wall as depicted in Exhibit <br />A shall hereinafter be referred to as “the Work.” City shall provide a UV anti-graffiti coating <br />over the Work within one week of application, weather permitting. <br />City shall provide all necessary approvals for the installation of the Work, including an <br />encroachment permit, if necessary, for Artist’s use of public rights-of-way for installation of the <br />Work, at no cost to the Artist. Artist shall not be held responsible for any delay caused by the <br />actions or failure to act of City’s officer’s agents or employees. <br />3. Compensation. <br />The total fee for the design and installation of the Work will be a flat rate fee of $100,000. This <br />amount shall constitute full compensation for all services, materials and fees to be performed <br />or furnished by Artist as described in Section 2, Scope of Services. <br />Such payment shall be full compensation for all work performed and services rendered, for all <br />supervision, labor, supplies, materials, equipment or use thereof, taxes, and for all other <br />necessary incidentals, including transportation of the Work to the designated site. In the event <br />the Artist incurs costs in excess of the total price, the Artist shall pay such excess for his/her <br />own funds, and the City shall not be required to pay any part of such excess, and the Artist <br />shall have no claim against the City on account thereof. <br />No payment to the Artist for any work performed or services rendered shall constitute a waiver <br />or release by the City of any claims, rights, or remedies it may have against the Artist under this <br />Agreement or by law, nor shall such payment constitute a waiver, remission, or discharge by <br />the City of any failure or fault of the Artist to satisfactorily perform the Work as required under <br />this Agreement. <br />Payments shall be provided in the following way: <br />1. 50% within 30 days of City Council approval of the artist rendering and signing of <br />agreement by both parties <br />2. 50% upon successful completion of the installed mural and upon satisfaction by the City. <br />4. Time of Performance. <br />Artist shall coordinate commencement, installation, and completion of the Work with the <br />representative assigned as project coordinator from the City Manager’s Office or Parks <br />Department. The Work shall be in place no later than September 1, 2022, weather permitting. <br />Artist will immediately notify the City of any delay that occurs or is anticipated in the date of <br />delivery installation or completion. The completion date for the Work may be extended for a <br />reasonable amount of time as a result of circumstances and events beyond the control of Artist <br />or upon written agreement by the Parties. <br />5.
