REV: 04-20-2022 RL <br />A. Subtle design refinements and/or improvements to the work left to the discretion of the <br />Artist; and <br />B. Initial inspection of the Work and/or working drawings immediately after execution of <br />this Agreement to determine that the Work is in keeping with the Artist representations; <br />and <br />C. Review of design and installation method within 30 days prior to the commencement of <br />installation; and <br />D. Periodic on-site inspections as Work progresses; and <br />E. Final inspection and acceptance after installation. <br />The reviews shall occur within two weeks of the Artist’s written notice to the City of readiness <br />for the review. <br />If the Work does not conform to the proposal as described in this Exhibit A or as mutually <br />agreed by the parties, notice of specific non-conformity and request for the Artist to address the <br />specific non-conformity shall be given to Artist in writing within two weeks after the review <br />period. Artist shall have thirty days to address and correct any non- conformity. If, after <br />resubmission, the Work still does not conform, the City retains the right to immediately <br />terminate the agreement and remove the non-conforming work product. <br />6. Project Close-out. <br />Upon completion and installation of the Work, the Artist will furnish the City with a full Release <br />and Waiver of Lien, plus releases from any major supplier or subcontractor involved with the <br />Work. The Artist shall also submit a maintenance report to City including specific <br />recommendations for ongoing maintenance and possible repairs as well as photo/video and <br />written documentation off fabrication and installation of the Work, such as to assist in <br />maintenance and/or repair, if so requested by the City. <br />7. Repairs, Maintenance, or Alterations. <br />A. The Artist is responsible for all parts and workmanship for a period of one year after <br />acceptance of the Work by the City and will replace any defective parts or rework any <br />defective craftsmanship in a timely fashion at no cost except as provided hereafter in <br />sections 7B and 7C. <br />B. The Artist is not responsible for and will not be held liable for any damage to the Work, <br />its surfaces, or environment caused by personnel of the City or by contracted <br />employees, visitors, or others, beyond the control of, the Artist. <br />C. The Artist is not responsible for and will not be held liable for any damages to the work <br />by weather conditions, acts of God, or other acts abnormal to the site. <br />8. Subletting or Assignment of Work. <br />The Artist will not sublet or assign any of her obligations under this contract that require her <br />artistic talents. Artist may sublet or assign obligations that do not require her artistic talents, <br />including, but not limited to, such obligations as transport of the Work and installation. <br />ATTY/AGR.2022.092/Rachel Wolfe-Goldsmith (Page 7 of 8)
