REV: 10-18-24 JB <br />AMENDMENT NO. 3 TO AGREEMENT FOR SERVICES <br />(Redwood City Police Activities League, Inc.) <br />This Amendment No. 3 (the “Amendment No. 3”) is entered into and effective as <br />of November 16, 2024, by and between the City of Redwood City, a charter city and <br />municipal corporation of the State of California (“City”), and Redwood City Police Activities <br />League, Inc, a California nonprofit corporation dba Redwood City PAL Center <br />(“Consultant”) (collectively, the “Parties”). <br />RECITALS <br />A. The Parties previously executed that certain AGREEMENT FOR <br />SERVICES: Redwood City Police Activities League (PAL) dated as of September <br />15,2022, (the “Original Agreement”). <br />B. The Parties previously executed Amendment No. 1 to the Original Agreement <br />(“Amendment No. 1”), dated as of September 15, 2023, and Amendment No. 2 to the <br />Original Agreement (“Amendment No. 2”), dated as of June 16, 2024. The Original <br />Agreement, Amendment No. 1, and Amendment No. 2 are collectively known as the <br />“Agreement”. <br />C. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 3, including any terms and conditions of the attached Exhibit <br />“A,” incorporated herein by reference. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. The term of the Agreement is hereby extended for an additional period of Seven <br />(7) months and Fifteen (15) days. Including all extensions through this Amendment No. <br />3, the total term of the Agreement is Two (2) years, Nine (9) months, and Fifteen (15) <br />days, expiring on June 30, 2025. The Billing and Payment Schedule for Services provided <br />during the additional term authorized by this Amendment No. 3 is set forth in Exhibit “A” <br />of this Amendment No. 3. <br />2. All other provisions of the Agreement will remain in full force and effect. <br />3. All requisite insurance policies to be maintained by Consultant pursuant to the <br />Agreement will include coverage for this Amendment No. 3. <br />4. The individuals executing this Amendment No.3, and the instruments referenced <br />in it on behalf of Consultant each represent and warrant that they have the legal power, <br />right and actual authority to bind Consultant to the terms and conditions of this <br />Amendment No. 3. <br />ATTY/AGR.2024/Amend.
