Consultant will adhere to the schedule set forth in Exhibit “A”, provided, <br />that City, in its discretion, may grant reasonable extensions when performance of the <br />Services is delayed due to unusually lengthy governmental reviews or other unexpected, <br />unavoidable circumstances. Such circumstances will not include strikes, lockouts, work <br />stoppages, or other labor disturbances conducted by, or on behalf of, Consultant’s officers <br />or employees. <br />5. Time is of the Essence. Time is of the essence for each and every provision of this <br />Agreement. <br />6. Compensation. City will pay to Consultant a not-to-exceed amount of One Million <br />Eight Hundred Thousand Dollars ($1,800,000) for the completion of the Services, which <br />sum will include all costs or expenses incurred by Consultant, payable as set forth in <br />Exhibit “A”. City will have the authority to withhold a ten percent (10%) retention until it <br />has accepted all of the Services as complete. <br />6.1 Consultant shall submit advance requests for payment reflecting the <br />Services to be performed and billed for, including detail on how the funds <br />requested will be spent in alignment with the approved budget for the <br />Services, as more particularly described in Exhibit “A”. The first advance <br />request for payment will include the Services to be performed within the <br />first sixty (60) days of the Agreement. Thereafter, Consultant will submit <br />monthly advance requests for payment every thirty (30) days. Subject to <br />Subsection 6.3, Consultant shall not be required to return any funds <br />remaining from the prior month’s advance as a result of submitting a <br />monthly advance payment request for the next thirty (30) days of Services. <br />An example of the payment schedule is below.
