REV: 09-14-2022 EI <br />AGREEMENT FOR SERVICES <br />CITY OF REDWOOD CITY <br />THIS AGREEMENT is made and entered into as of the <br />______________________ (the “Effective Date”), by and between the CITY OF MENLO <br />PARK, a municipal corporation of the State of California (“Menlo Park”), and CITY OF <br />REDWOOD CITY a charter city and municipal corporation of the State of California. <br />(“Redwood City”). <br />RECITALS <br />A. Menlo Park requires annual maintenance services for the Atherton Channel <br />located in Menlo Park. <br />B. Redwood City has the necessary experience in providing such services. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. Scope of Work. Subject to the terms and conditions of this Agreement, Redwood <br />City shall provide those services described in Exhibit A, along with Exhibit A-1, the <br />Streambed Alteration Agreement (SAA) between the State of California and Menlo Park <br />and Exhibit A-2, the site plan, which documents are incorporated herein by reference. In <br />summary, the scope of services includes but is not limited to vegetation and trash and <br />debris removal from the channel and banks of the Atherton Channel located in Menlo <br />Park. <br />2. Term. Unless terminated earlier pursuant to Section 17, the term of this <br />Agreement will begin on the Effective Date and will end October 31, 2025. <br />3. Schedule. Redwood City will adhere to the schedule set forth in Exhibit “A”, <br />provided, that Menlo Park, in its discretion, may grant reasonable extensions. <br />4. Time is of the Essence. Time is of the essence for each and every provision of <br />this Agreement. <br />5. Compensation. Menlo Park will pay to Redwood City a not-to-exceed amount of <br />One Hundred Fifty Thousand Dollars ($150,000) for the completion of all the work and <br />services described herein, which sum will include all costs or expenses incurred by <br />Redwood City, payable as set forth in Exhibit “A”. <br />5.1 Contractor must submit applications for payment that contain the following: <br />5.1.1 A clear, detailed invoice reflecting Services for which Redwood City is <br />billing Menlo Park; <br />ATTY/AGR.2022.328/City of Redwood City (Page 1 of 40) <br />#3865 <br />DocuSign Envelope ID: B10E2B21-03D4-4644-8E80-12E9BDEF8B3F <br />10/14/2022
