REV:01-20-23 MI <br />GONAVIA SECTION 132 TRANSPORTATION AND PARKING PLAN SCHEDULE <br />This Schedule is incorporated into and made a part of the Agreement. The responsibilities of the <br />Parties set forth in this Schedule are in addition to any responsibilities set forth in the Agreement. If <br />there is a conflict between this Schedule and any other part of the Agreement with respect to the <br />subject matter of this Schedule, the Schedule will control. In all other conflicts, the Agreement <br />controls. Capitalized terms not otherwise defined herein are defined as set forth in the Agreement. <br />As part of the Services Employer has asked Navia to assist it with Transportation and Parking Plan <br />administration (the “Plan”) as more particularly described in this Schedule below. <br />1. RESPONSIBILITIES OF NAVIA <br />1.1. IMPLEMENTATION Navia shall: <br />1.1.1. Implement the Plan subject to the Plan Application and the direction and <br />approval of Employer <br />1.1.2. Design, prepare, and deliver Eligible Employee sign-up instructions and Plan <br />communications. <br />1.2. REPORTING Navia shall: <br />1.2.1. Provide format for Initial Eligibility File and the Changes Only File. Initial <br />Eligibility File shall mean the file format sent at implementation of the Plan <br />by Navia to Employer for Employer to populate with the Eligible Employee <br />census data. The Changes Only File shall mean the file format sent by Navia <br />to Employer for Employer to populate with only those newly Eligible <br />Employees, terminated employees, and any Eligible Employee with updated <br />census data. <br />1.2.2. Provide Initial Payroll Deduction Report on the 21st of each month and Final <br />Payroll Deduction Report on the second Business Day after providing the <br />Initial Payroll Deduction Report. The Initial Payroll Deduction Report shall <br />mean the report detailing funds ordered, adjustments, and, if applicable, any <br />Employer subsidy as of 11:59 PST on the 20th of the month. The Final <br />Payroll Deduction Report shall mean the Initial Payroll Deduction Report as <br />amended by Employer for that month. <br />1.3. PLAN DESIGN OPTIONS - PAY ME DIRECTLY <br />If selected on the Plan Application, Navia shall provide optional Pay Me Directly <br />administration for some or all Qualified Transportation Benefits as defined in the <br />Internal Revenue Code Section 132. The Pay Me Directly Plan shall mean an optional <br />program whereby Navia issues reimbursements directly to Eligible Employees in the <br />form of direct deposit or checks for Qualified Transportation Benefits. <br />2. RESPONSIBILITIES OF EMPLOYER <br />2.1. IMPLEMENTATION <br />Employer shall timely provide the Plan Application and any other information <br />reasonably necessary for Navia to satisfy its obligations hereunder. <br />ATTY/AGR.2023.010/Navia Benefit Solutions (Navia Services (Dental HRA) 2023) (Page 28 of 42)
