City of Redwood City serving as fiscal agent for Redwood City Together <br />Grant Agreement <br />REV: 01-24-23 RL <br />We will share this progress check-in with our Grantmaking and Impact Investment Review <br />Committee, who are responsible for approving the release of each tranche of funding. <br />Payment Schedule: <br />This grant will be paid in three annual installments, following the annual check-in as described above. <br />The annual installments are outlined follows: <br />First payment: $200,000 upon receipt of signed Grant Agreement <br />Second payment: $200,000 upon approval by the Committee (June 2024) <br />Third payment: $100,000 upon approval by the Committee (June 2025) <br />Unexpended Funds: <br />In the event of discontinuation or at the close of the grant period, any unexpended grant funds shall <br />immediately be returned to SV2, except where SV2 has agreed in writing to an extension. If the <br />Grantee Partner requires an extension for expenditure of grant funds, the Grantee Partner should <br />submit a request for an extension to SV2 before the end of the grant period. The request should <br />contain the reason for the extension and the length of time requested for the extension. <br />Optional Acknowledgement of Grant Support: <br />If the Grantee Partner would like to acknowledge SV2’s support in publications such as newsletters, <br />program activity announcements or media coverage, suggested language is: “This work has been <br />made possible in part by a grant from The Silicon Valley Social Venture Fund (SV2).” To reference SV2 <br />on a list of funders, please write, “Silicon Valley Social Venture Fund (SV2).” <br />Tax-Exempt Status: <br />Grantee Partner will keep current its status as an organization exempt from taxation pursuant to <br />Section 170(c)(1) of the Internal Revenue Code of the United States throughout the grant period and <br />will comply with all applicable federal and state laws and regulations that govern the use of grant <br />funds. The Grantee Partner will comply with all governmental requirements that may now or in the <br />future become applicable to its activities under this Agreement. <br />General: <br />1. Any significant changes in the Grantee Partner’s organizational leadership, including <br />personnel who are important to the accomplishment of the Projected Grant Outcomes, should <br />be reported to SV2 within thirty (30) days of the change. <br />2. Any assignment of this Agreement by the Grantee Partner will be void without the prior <br />written consent of SV2. <br />3. If any parts of this Agreement are held to be invalid, the remaining parts of the Agreement <br />shall continue to be valid and enforceable. No waiver by either party or any breach, default, <br />or series of breaches or defaults, and no failure, refusal, or neglect of either party to exercise <br />any right, power, or option given to it under this Agreement or to insist upon strict compliance <br />ATTY/AGR.2023.011/Silicon Valley Social Venture Fund (Organizational Grant) (Page 3 of 5)
