<br /> EAP Services Agreement <br />1 <br />HEALTH AND HUMAN RESOURCE CENTER, INC. <br />(dba AETNA RESOURCES FOR LIVING) <br />EMPLOYEE ASSISTANCE PROGRAM (EAP) <br />SERVICES AGREEMENT <br /> <br /> <br />This Employee Assistance Program (EAP) Services Agreement ("Agreement") is made and entered into by <br />and between Health and Human Resource Center, Inc., doing business as Aetna Resources For Living <br />("Plan"), and the organization identified as Group on the Cover Sheet of this Agreement ("Group"). <br /> <br />RECITALS <br /> <br />A. Plan operates a specialized health care service plan licensed under the Knox-Keene Health Care Service <br />Plan Act of 1975, as amended (the "Act"), and the regulations promulgated thereunder (the "Regulations"). <br /> <br />B. Plan will provide and arrange for the provision of Benefits to Group employees and certain persons <br />associated with Group employees, as Members, in accordance with the terms, conditions, Limitations and <br />Exclusions of this Agreement, as such terms are defined below. <br /> <br />C. Group will pay Periodic Fees to Plan for the provision of Benefits by Plan to Group employees and certain <br />persons associated with Group employees, as Members. <br /> <br />AGREEMENT <br /> <br />NOW, THEREFORE, in consideration of the above recitals and the promises and covenants contained herein, <br />Plan and Group agree as follows: <br /> <br />I. DEFINITIONS <br /> <br />The following terms shall have the following meanings: <br /> <br />A. "Act" The Knox-Keene Health Care Service Plan Act of 1975, as amended (California Health and <br />Safety Code Sections 1340 et seq.). <br /> <br />B. "Benefits" The coverages to which Members are entitled under this Agreement, and the services to <br />be provided to Group hereunder, which are set forth in Exhibit A to this Agreement. <br /> <br />C. "Director" Director of the California Department of Managed Health Care. <br /> <br />D. "EAP Provider" A licensed assessment and short-term counseling professional employed by, or under <br />contract with Plan to provide Benefits to Members. <br /> <br />E. “Exclusion” Any provision of this Agreement whereby coverage for Benefits is entirely eliminated. <br /> <br />F. "Evidence of Coverage" or “Combined Evidence of Coverage and Disclosure Form” The document <br />issued to an employee of Group which summarizes the essential terms of this Agreement. <br /> <br />REV: 03-10-23 MI <br />ATTY/AGR.2023.039/Aetna (EAP Services Agreement) (Page 2 of 42)
