REV: 12-22-23 VR AMENDMENT NO. 1 TO AGREEMENT FOR SERVICES (WeHOPE) This Amendment No. 1 (the “Amendment No. 1”) is entered into and effective as of _________________________ by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and WeHOPE, a California nonprofit organization (“Consultant”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that certain Agreement for Services, dated as of March 24, 2023, (the “Original Agreement”) (the Original Agreement and this Amendment No. 1 are collectively known as the “Agreement”). B. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 1, including any terms and conditions of the attached Exhibit “A”, incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. Consultant will provide the services set forth in the Scope of Services and Fees, attached to this Amendment No. 1 as Exhibit “A”, and such services will be considered part of the Services for purposes of the Agreement. Exhibit “A” to the Original Agreement is hereby deleted and replaced with Exhibit “A” to this Amendment No. 1. 2. City will pay Consultant a not-to-exceed amount of Twenty Thousand Two Hundred Dollars ($20,200) for the completion of all the services described in Exhibit “A”, which sum will include all costs or expenses incurred by Consultant. Including all amendments through Amendment No. 1, the total amount payable under the Agreement will be a not-to-exceed amount of Two Hundred Ten Thousand Three Hundred Seventy Dollars ($210,370). 3. Contingent upon sufficient available funding, the City Manager may amend the Agreement to extend it for one additional year from the Original Agreement in an amount not to exceed Ninety-Four Thousand, Five Hundred Seventy Dollars ($94,570) for such extension term. Any such extension will require a written amendment executed by both parties indicating the effective date and length of the extended Agreement. 4. All other provisions of the Agreement will remain in full force and effect. 5. All requisite insurance policies to be maintained by Consultant pursuant to the Agreement will include coverage for this Amendment No. 1. 6. The individuals executing this Amendment No. 1 and the instruments referenced in it on behalf of Consultant each represent and warrant that they have the ATTY/AGR.2023/Amend.
