The Leadership Council and the Executive Team follow the structure <br />described in Exhibit “A” (Governance Structure), which is attached hereto and <br />incorporated herein by reference. <br />4. Redwood City Together Staff. It is understood that Redwood City Together will <br />require the services of an Executive Director and related support staff for its day-to-day <br />operations. The Executive Director and other Redwood City Together staff (collectively “Redwood <br />City Together Staff”) are responsible for coordinating participating organizations and agencies. <br />Redwood City Together Staff will organize Redwood City Together’s operation and operationalize <br />the structure drives the work of the Redwood City Together. Redwood City Together Staff guide <br />vision and strategy, support aligned activities, establish shared measurement practices, build <br />public will, advance policy, and mobilize funding. The Leadership Council has designated the City <br />of Redwood City to contract for Redwood City Together Staff on behalf of Redwood City Together. <br />The City serves as the fiscal agent for Redwood City Together Staff and related expenses. <br />5. Funding. <br />a) With the exception of the North Fair Oaks Community Council, which will not make <br />a financial contribution, and Stanford University, which will get its membership covered by <br />a grant making philanthropic partner who shall contribute Thirteen Thousand Eight <br />Hundred Eight Dollars ($13,808), each of the collaborative partners shall contribute <br />Twenty Seven Thousand Six Hundred Fifteen Dollars ($27,615) for Fiscal Year 2022-2023 <br />to support the work of Redwood City Together. On behalf of the County of San Mateo, <br />San Mateo County Health and the San Mateo Human Services Agency will each <br />contribute Thirteen Thousand Eight Hundred Eight Dollars ($13,808) for Fiscal Year 2022- <br />2023. The grant making philanthropic partner will make a Fourteen Thousand Five <br />Hundred Twenty Six Dollars ($14,526) for Stanford University for fiscal year 2023-2024. <br />i. As Fiscal Agent, the City is authorized to receive money on behalf of <br />Redwood City Together. The money received on behalf of Redwood City Together <br />shall be disbursed, as requested, by the Redwood City Together Executive <br />Director in writing, subject to City administrative procedures. <br />ii. At no time shall the City be under any obligation to disburse money to <br />Redwood City Together in excess of the amount on deposit. The collaborative <br />partners acknowledge that money received by the City will not be available for <br />disbursement for three (3) business days after the funds have been deposited by <br />City, or for a longer period, as deemed appropriate by City's Finance Director. <br />6. Acts and Omissions of Executive Director. The acts and omissions of the Executive <br />Director, or any other employees, agents, or volunteers acting on behalf of Redwood City <br />Together shall not in any way be construed as the acts and omissions of the City, but shall be <br />deemed as the acts and omissions of the collaborative partners acting jointly. <br />ATTY/AGR.2023.025/John W.
