Lease Addendum 4/21/2023 <br />KS <br />ADDENDUM TO AGREEMENTS <br />This Addendum to Agreements is by and among Quadient Leasing USA, Inc. (“Quadient Leasing”), <br />Quadient, Inc. (“Quadient”) and the City of Redwood City (“Customer”) with reference to the following: <br />A.Quadient is the supplier of certain mailroom products and solutions. <br />B.Quadient Leasing and Customer are entering into a Government Product Lease Agreement <br />(the “Lease”), pursuant to which Quadient Leasing will lease products to Customer. <br />C.Concurrently herewith, Quadient and Customer are entering into a Postage Meter Rental <br />Agreement (the “Rental Agreement”), pursuant to which Quadient will rent a Postage Meter to <br />Customer, and a Maintenance Agreement (the “Maintenance Agreement”) pursuant to which Quadient <br />will provide certain maintenance services for Customer. <br />D.Any defined term used herein shall have the same meaning as in the Lease and the <br />Maintenance Agreement. <br />In consideration of the mutual covenants contained herein, and in the Lease and the Maintenance <br />Agreement, the parties agree as follows: <br />1.Quadient Leasing and Customer agree to amend the Lease as follows: <br />a.Section 3.1 of the Lease is hereby deleted in its entirety and is replaced with the <br />following: “The Initial Term of this Lease will begin on the date the Products are installed <br />and will continue for the number of months shown on the applicable Order Form (“Initial <br />Term”).” <br />b.Section 21, titled “Choice of Law; Venue; and Attorney’s Fees” is hereby amended read <br />as follows: “This Lease shall be governed under the laws of the state of California, <br />without regard to conflicts of law, and jurisdiction shall lie exclusively in a court of <br />competent jurisdiction in San Mateo County, California.” <br />2.Quadient and Customer agree to amend the Maintenance Agreement as follows: <br />a.The following sentences are hereby deleted from the Maintenance Agreement: <br />“Customer shall commence paying for the Maintenance Services on Leased Products, <br />where Maintenance Fees are included in the lease payment, on the date the lease <br />commences. During any Renewal Term, Customer agrees to pay the then-current fee for <br />Maintenance Services.” <br />b.Section 1, titled “Incorporation of Certain Terms,” is hereby amended in the third <br />sentence to delete “13 through 24” and replace it with “13 and 15 through 24.” <br />c.A new section is hereby added to the Maintenance Agreement and it shall read as <br />REV: 05-18-2023 RL <br />ATTY/AGR.2023.111/Quadient (Postage Machine Terms) (Page 2 of 9)
