REV: 06-12-24 MI AMENDMENT NO. 1 TO AGREEMENT FOR SERVICES Citadel Environmental Services, Inc. This Amendment No. 1 (the “Amendment No. 1”) is entered into and effective as of _________________, 2024, by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and Citadel Environmental Services, Inc., a California corporation (“Consultant”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that Agreement for Services, dated as of June 8, 2023, (the “Agreement”). B. While the Agreement expired on June 7, 2024, the Parties continued to work together to ensure continuation of Services. The Parties now wish to renew the implementation of the Agreement as amended by this Amendment No. 1 and authorize the payment to the Consultant for services rendered for the period between June 8, 2024, and the effective date of this Amendment No. 1. C. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 1, including any terms and conditions of the attached Exhibit A, incorporated herein by reference (the “Original Agreement” and “Amendment No. 1” are collectively known as the “Agreement”). NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. Consultant will provide the additional services set forth in Exhibit “A”, and such services will be considered part of the Services for purposes of the Agreement. 2. City will pay Consultant a not-to-exceed amount of Thirty-Four Thousand Dollars ($34,000) for the completion of all the services described in Exhibit “A”, which sum will include all costs or expenses incurred by Consultant. Including Amendment No. 1, the total amount payable under the Agreement will be a not-to-exceed amount of Sixty Thousand Dollars ($60,000). 3. Unless terminated earlier, the term of this Amendment No. 1 will begin on June 8, 2024, and end on June 8, 2027. 4. All other provisions of the Agreement will remain in full force and effect. 5. All requisite insurance policies to be maintained by Consultant pursuant to the Agreement will include coverage for this Amendment No. 1. 6. The individuals executing this Amendment No. 1 and the instruments referenced in it on behalf of Consultant each represent and warrant that they have the ATTY/AGR.2024/Amend.
