<br />by Retail Customers that are included in the WSIP, do not generate the yield or savings (10 <br />MGD combined) anticipated by San Francisco. <br /> <br />3.02 Allocation of Supply Assurance <br />A. Pursuant to Section 7.02 of the 1984 Agreement, a portion of the Supply <br />Assurance has been allocated among 24 of the 27 Wholesale Customers. These Individual <br />Supply Guarantees are .also expressed in terms of annual average metered deliveries of <br />millions of gallons per day and are listed in Attachment C. <br /> <br />B. Three Wholesale Customers do not have Individual Supply Guarantees. The <br />cities of San Jose and Santa Clara do not have an Individual Supply Guarantees because San <br />Francisco has provided water to them on a temporary and interruptible basis as described in <br />Sections 4.05 and 9.06. The City of Hayward does not have an Individual Supply Guarantee <br />because of the terms of the 1962 contract between it and San Francisco, as further described in <br />Section 9.03. <br /> <br />C. If the total amount of water delivered by San Francisco to Hayward and to the <br />Wholesale Customers that are listed on Attachment C exceeds 184 MGD over a period of three <br />consecutive fiscal years (i.e., July 1 through June 30), then the Individual Supply Guarantees of <br />those Wholesale Customers listed on Attachment C shall be reduced pro rata so that their <br />combined entitlement and the sustained use by Hayward does not exceed 184 MGD. The <br />procedure for calculating the pro rata reduction in Individual Supply Guarantees is set out in <br />Attachment D. <br /> <br />1. The provisions of this .subsection C are not in derogation of the <br />reservation of claims to water in excess of the Supply Assurance which are contained in Section <br />8.07. Nor do they constitute an acknowledgement by Wholesale Customers other than <br />Hayward that San Francisco is obligated or entitled to reduce their Individual Supply <br />Guarantees in the circumstances described herein. The provisions of this subsection C shall, <br />however, be operative unless and until a court determines that its provisions violate rights of the <br />Wholesale Customers derived independently of this Agreement. <br /> <br />2. The foregoing paragraph is not intended to and shall not constitute a <br />contractual commitment on the part of San Francisco to furnish more water than the Supply <br />Assurance to the Wholesale Customers or a concession by San Francisco that the provisions of <br />this subsection violate any rights of the Wholesale Customers. <br /> <br />-9- <br /> <br />1840795.8 <br />
