98 <br />2021 Amended and Restated WSA 17162043.1 <br />delivery amount stated herein; and (2) increase the Supply Assurance, but not necessarily both. <br />San Francisco has no obligation to deliver water to California Water Service Company in excess <br />of the maximum stated herein, except as such maximum may be increased by San Francisco <br />pursuant to this subsection. The maximum annual quantity of Local System Water set forth in <br />this subsection is intended to be a limitation on the total quantity of water that may be allocated <br />to California Water Service Company, and is not an Individual Supply Guarantee for purposes of <br />Section 3.02. The maximum quantity of Local System Water set forth in this subsection is <br />subject to reduction in response to (1) changes in long-term hydrology or (2) environmental <br />water requirements that may be imposed by or negotiated with state and federal resource <br />agencies in order to comply with state or federal law or to secure applicable permits for <br />construction of Regional Water System facilities. San Francisco shall notify California Water <br />Service Company of any anticipated reduction of the quantity of Local System Water set forth in <br />this subsection, along with an explanation of the basis for the reduction. <br />C. Notwithstanding anything in Section 8.08 to the contrary, California Water <br />Service Company shall have the right to assign to a public agency having the power of eminent <br />domain all or a portion of the rights of California Water Service Company under any contract <br />between it and San Francisco applicable to any individual district of California Water Service <br />Company in connection with the acquisition by such public agency of all or a portion of the water <br />system of California Water Service Company in such district. In the event of any such <br />assignment of all the rights, privileges and obligations of California Water Service Company <br />under such contract, California Water Service Company shall be relieved of all further <br />obligations under such contract provided that the assignee public agency expressly assumes <br />the obligations of California Water Service Company thereunder. In the event of such an <br />assignment of a portion of the rights, privileges and obligations of California Water Service <br />Company under such contract, California Water Service Company shall be relieved of such <br />portion of such obligations so assigned thereunder provided that the assignee public agency <br />shall expressly assume such obligations so assigned to it. <br />D. Should California Water Service Company seek to take over or otherwise <br />acquire, in whole or in part, the service obligations of another Wholesale Customer under <br />Section 3.03.E, it will so inform San Francisco at least six months prior to the effective date of <br />the sale and provide information concerning the total additional demand proposed to be served, <br />in order that San Francisco may compare the proposed additional demand to the then-current <br />estimate of Local System Water.
