99 <br />2021 Amended and Restated WSA 17162043.1 <br />the SFPUC that it has reached an agreement to acquire the assets of Skyline County Water <br />District (“Skyline”) and assume the responsibility for providing water service to customers in the <br />Skyline service area. California Water Service Company has advised the SFPUC that, on <br />September 18, 2008, the California Public Utilities Commission approved California Water <br />Service Company’s acquisition of Skyline. The SFPUC anticipates approving the transfer of <br />Skyline’s Supply Guarantee as shown on Attachment C to California Water Service Company <br />and the expansion of California Water Service Company’s service area to include the current <br />Skyline service area before the Effective Date of this Agreement. All parties to this Agreement <br />authorize corresponding modifications of Attachment C, as well as any of the Agreement’s other <br />provisions, to reflect the foregoing transaction without the necessity of amending this <br />Agreement. <br />E. Nothing in this Agreement shall preclude San Francisco from selling water to any <br />county, city, town, district, political subdivision, or other public agency for resale to customers <br />within the service area of the California Water Service Company. Nothing in this Agreement <br />shall require or contemplate any delivery of water to California Water Service Company in <br />violation of the Act. <br />F. Nothing in this Agreement shall alter, amend or modify the Findings of Fact and <br />Conclusions of Law and the Judgment dated May 25, 1961, in that certain action entitled City <br />and County of San Francisco v. California Water Service Company in the Superior Court of the <br />State of California in and for the County of Marin, No. 23286, as modified by the Quitclaim Deed <br />from California Water Service Company to San Francisco dated August 22, 1961. The rights <br />and obligations of San Francisco and California Water Service Company under these <br />documents shall continue as therein set forth. <br />9.03. City of Hayward <br />A. San Francisco and the City of Hayward (“Hayward”) entered into a water supply <br />contract on February 9, 1962 (“the 1962 contract”) which provides, inter alia, that San Francisco <br />will supply Hayward with all water supplemental to sources and supplies of water owned or <br />controlled by Hayward as of that date, in sufficient quantity to supply the total water needs of the <br />service area described on an exhibit to the 1962 contract “on a permanent basis.” The service <br />area map attached as Exhibit C to the 1962 contract was amended in 1974 to remove an area <br />of land in the Hayward hills and in 2008 to make minor boundary adjustments identified in <br />SFPUC Resolution No. 08-0035.
