1 of 5 <br />First Amendment to Individual Water Sales Contract between <br />City and County of San Francisco and City of Redwood City <br />THIS FIRST AMENDMENT (Amendment) is made as of ______________, 2023, in <br />San Francisco, California, by and between the City and County of San Francisco, a municipal <br />corporation (San Francisco), acting by and through its Public Utilities Commission (SFPUC), <br />and the City of Redwood City, a municipal corporation (Redwood City). <br />Recitals <br />WHEREAS, On July 1, 2009, San Francisco and its wholesale water customers in <br />Alameda, San Mateo, and Santa Clara Counties (Wholesale Customers), including, among <br />others, Redwood City and the California Water Service Company (Cal Water), entered into a <br />Water Supply Agreement (WSA), as authorized by SFPUC Commission Resolution No. 09- <br />0069, dated April 28, 2009, with subsequent approval by the Wholesale Customers, which has <br />been amended and restated, as authorized by SFPUC Commission Resolution No. 21-0009, <br />dated January 26, 2021, with subsequent approval by the Wholesale Customers; and <br />WHEREAS, Section 9.01 of the WSA contemplates that, except as provided, each of the <br />Wholesale Customers will also enter into a new Individual Water Sales Contract with San <br />Francisco concurrently with its approval of the WSA; and <br />WHEREAS, On July 1, 2009, San Francisco and Redwood City entered into an <br />Individual Water Sales Contract (Contract), as authorized by SFPUC Commission Resolution <br />No. 09-0069, dated April 28, 2009, and Redwood City Resolution No. 14949, dated June 23, <br />2009; and <br />WHEREAS, Section 3 of the Contract provides that water delivered by San Francisco to <br />Redwood City may be used or sold within the service area shown on the map designated Exhibit <br />A attached thereto, and Section 5 of the Contract provides that Redwood City maintains interties <br />with neighboring water systems at the locations and with the connection sizes shown on Exhibit <br />C attached thereto; and <br />WHEREAS, Section 3.03.E of the WSA provides that two or more Wholesale Customers <br />may agree to adjust the boundaries of the service areas described in their Individual Water Sales <br />Contracts so that one assumes an obligation to serve customers in an area that was previously <br />within the service area of another Wholesale Customer, with San Francisco’s consent, and that <br />adjustments that would result in the expansion of any Cal Water service areas are subject to the <br />requirements of Section 9.02.D of the WSA; and <br />WHEREAS, Redwood City and Cal Water have agreed to adjust the boundaries of the <br />service areas described in their Individual Water Sales Contracts so that Cal Water assumes from <br />Redwood City the obligation to serve seven customers located on Godetia Drive in Woodside, <br />California, and San Francisco consents to the boundary adjustment; and <br />June 27 <br />DocuSign Envelope ID: 13C5EE4A-8919-48E0-95C6-78C933A116AD
