<br />City Charter, will not excuse the SFPUC from its failure to perform any obligation imposed by <br />this Agreement. <br /> <br />3. The Wholesale Customers and the SFPUC will not assert monetary <br />claims against one another based on the 1984 Agreement other than otherwise arbitrable <br />claims arising from the three fiscal years immediately preceding the start of the Term (Le., FYs <br />2006-07, 2007-08 and 2008-09). Such claims, if any, shall be governed by the dispute <br />resolution provisions of this Agreement, except that the time within which arbitration must be <br />commenced shall be 18 months from delivery of the Compliance Auditor's report. <br /> <br />D. Other <br />1. This Agreement shall determine the respective monetary rights and <br />obligations of the parties with respect to water sold by the SFPUC to the Wholesale Customers <br />during the Term. Such rights and obligations shall not be affected by any judgments or orders <br />issued by any court in litigation, whether or not between parties hereto, and whether or not <br />related to the controversy over co-grantee status, except for arbitration and/or litigation <br />expressly permitted in this Agreement. No judicial or other resolution of issues reserved by this <br />section will affect the Wholesale Revenue Requirement which, during the Term, will be <br />determined exclusively as provided in Articles 5, 6 and 7 of this Agreement. <br /> <br />2~ Because delays in the budget process or other events may cause the <br />SFPUC to defer the effective date of changes in wholesale rates until after the beginning of the <br />fiscal year, this Agreement does not require the SFPUC to make changes in wholesale rates <br />effective at the start of the fiscal year or at any other specific date. <br /> <br />3. The Wholesale Customers do not, by executing this Agreement, concede <br />the legality of the SFPUC's establishing Interim Supply Allocations, as provided in Article 4 or <br />imposing Environmental Enhancement Surcharges on water use in excess of such allocations. <br />Any Wholesale Customer may challenge such allocation when imposed and/or such surcharges <br />if and when levied, in any court of competent jurisdiction. <br /> <br />4. The furnishing of water in excess of the Supply Assurance by San <br />Francisco to the Wholesale Customers shall not be deemed or construed to be 'a waiver by San <br />Francisco of its claim that it has no obligation under any provision of law to supply such water to <br />the Wholesale Customers, nor shall it constitute a dedication by San Francisco to the Wholesale <br />Customers of such water. <br /> <br />-79- <br /> <br />1840795.8 <br />
