Any violation of this clause may result in an immediate termination of this Agreement. 5) Redwood City shall, for a period of three years commencing upon the execution of this Agreement by all parties, have immediate and continued access to that portion of the Range and property designated by this Agreement. Scheduled use is to be arranged through and is subject to approval of the County Sheriff’s Office. All such Redwood City access and usage shall be limited as further described in this Agreement. Redwood City shall not use the Range and property (including equipment, instruments, supplies or personnel) for any purpose other than the performance of Redwood City’s rights and obligations under this Agreement. 6) Redwood City cannot use the range on weekends or County holidays. On all authorized days, range use must cease by 1800 hours. 7) The County Sheriff’s Office reserves the right to refuse rental and to remove Redwood City from the Range and property if the County Sheriff’s Office firearms range staff determines that Redwood City’s conduct or activity is inappropriate, dangerous, or unsafe. The County Sheriff’s Office also reserves the right to cancel, refuse rental or otherwise amend a scheduled rental request for use of the Range based on Redwood City’s intended use of the facility. 8) Should the County decide to sell the property that is the subject of this Agreement during the term of the Agreement, the County shall reimburse Redwood City that portion of the payment described in paragraph 12 below that Redwood City has paid to the County, on a pro rata basis for the remainder of the unused term of the Agreement. If only a part of the property is sold, that pro rata reimbursement shall be limited to the same percentage as the portion of property sold. 9) If Redwood City elects to terminate this Agreement for cause prior to the expiration of the term of the Agreement, Redwood City may be entitled to reimbursement of a portion of the payment described in paragraph 12, below. 10) Redwood City shall be responsible for and use reasonable care to maintain the Range and property in a reasonable and satisfactory condition during the time Redwood City is utilizing the property with the exception of reasonable wear and tear. Redwood City shall reimburse the County for any misuse and/or negligent use of the premises by Redwood City and its personnel, as reasonably assessed by the County. Overall routine maintenance for the Range and property is the responsibility of the County. 11) Redwood City agrees to comply with the insurance requirements set forth by the County Insurance Manager in Exhibit B-2, attached to this Agreement and incorporated by reference.
