REV: 06-13-24 MI <br />AMENDMENT NO. 1 TO AGREEMENT FOR SERVICES <br />(William R. Gray and Company) <br /> <br />This Amendment No. 1 (the “Amendment No. 1”) is entered into and effective as <br />of _________________, by and between the City of Redwood City, a charter city and <br />municipal corporation of the State of California (“City”), and William R. Gray and Company <br />DBA Gray -Bowen-Scott, a CA Corporation (“Consultant”) (collectively, the “Parties”). <br /> <br />RECITALS <br />A. The Parties previously executed that certain Agreement for Services - <br />William R. Gray and Company, dated as of June 30, 2023 (the “Agreement”) for project <br />management services in connection with the 101/84 Interchange Reconstruction Project <br />(“Project”). <br /> <br />B. When the City Council approved the Original Agreement, the Council also <br />authorized the City Manager to increase the agreement amount up to 10% of the Original <br />Agreement amount if necessary (Minute Order 23-091). <br /> <br />C. The Parties have determined that it is necessary to deploy and use the e- <br />Builder software platform for the tracking and management of Project costs in order to <br />efficiently share information and comply with funding requirements with other Project <br />partners such as Caltrans. <br /> <br />D. Consultant will contract with an additional subconsultant who specializes in <br />implementation of eBuilder in city contexts pursuant to the Agreement and they will <br />provide additional advisory services to the City’s effort managing the implementation and <br />configuration of the software to ensure the City’s objectives for implementation of eBuilder <br />are met. <br /> <br />E. In furtherance of the foregoing, the Parties have negotiated and agreed to <br />the terms and conditions set forth in this Amendment No. 1, including any terms and <br />conditions of the attached Exhibit A, incorporated herein by reference. <br /> <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br /> <br />1. Consultant will contract with Trimble, Inc., the maker of the e-Builder <br />software, to license such software and provide implementation services to enable the use <br />of the software by Consultant and City in connection with the Project in accordance with <br />the Order Form that is attached to this Amendment as Exhibit “A” (“Order Form”) and <br />those certain Master Terms of Services Agreement to be entered into between Consultant <br />and Trimble. City hereby consents to the use of Trimble as a subcontractor in accordance <br />with Section 9 of the Agreement. To assist with implementation services, City hereby <br />consents to the use of Avicado as a subcontractor in accordance with Section 9 of the <br />Agreement. <br />ATTY/AGR.2024/Amend.
