REV: 06-13-24 MI AMENDMENT NO. 1 TO AGREEMENT FOR SERVICES (William R. Gray and Company) This Amendment No. 1 (the “Amendment No. 1”) is entered into and effective as of _________________, by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and William R. Gray and Company DBA Gray -Bowen-Scott, a CA Corporation (“Consultant”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that certain Agreement for Services - William R. Gray and Company, dated as of June 30, 2023 (the “Agreement”) for project management services in connection with the 101/84 Interchange Reconstruction Project (“Project”). B. When the City Council approved the Original Agreement, the Council also authorized the City Manager to increase the agreement amount up to 10% of the Original Agreement amount if necessary (Minute Order 23-091). C. The Parties have determined that it is necessary to deploy and use the e- Builder software platform for the tracking and management of Project costs in order to efficiently share information and comply with funding requirements with other Project partners such as Caltrans. D. Consultant will contract with an additional subconsultant who specializes in implementation of eBuilder in city contexts pursuant to the Agreement and they will provide additional advisory services to the City’s effort managing the implementation and configuration of the software to ensure the City’s objectives for implementation of eBuilder are met. E. In furtherance of the foregoing, the Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 1, including any terms and conditions of the attached Exhibit A, incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. Consultant will contract with Trimble, Inc., the maker of the e-Builder software, to license such software and provide implementation services to enable the use of the software by Consultant and City in connection with the Project in accordance with the Order Form that is attached to this Amendment as Exhibit “A” (“Order Form”) and those certain Master Terms of Services Agreement to be entered into between Consultant and Trimble. City hereby consents to the use of Trimble as a subcontractor in accordance with Section 9 of the Agreement. To assist with implementation services, City hereby consents to the use of Avicado as a subcontractor in accordance with Section 9 of the Agreement. ATTY/AGR.2024/Amend.
