DUPLICATE <br />ORIGINAL <br />SECOND AMENDED AND RESTATED AGREEMENT <br />BETWEEN CITIES OF REDWOOD CITY AND SAN CARLOS <br />FOR FIRE & EMERGENCY SERVICES <br />This Second Amended and Restated Agreement ("Agreement") is entered into as of <br />2018, ("Effective Date") by and between the City of Redwood City, a charter <br />city anUmunicipal corporation of the State of California ("Redwood City"), and the City of San <br />Carlos, a municipal corporation of the State of California ("San Carlos"), collectively <br />"Participating Agencies." <br />RECITALS <br />WHEREAS, the Participating Agencies are public corporations organized and operating <br />under the laws of the State of California; and <br />WHEREAS, the Participating Agencies have the authority to perform fire protection <br />activities, emergency medical services, and other related activities for their respective agencies <br />and for each other; and <br />WHEREAS, the Participating Agencies entered into that certain Agreement between Cities <br />of Redwood City and San Carlos for Fire and Emergency Services dated July 7, 2011, as amended <br />by a First Amendment dated October 19, 2011 and a Second Amendment dated August 13, 2012, <br />for the delivery of certain fire and emergency services (collectively, "Original Agreement"); and <br />WHEREAS, the Original Agreement was amended and restated on July 1, 2013 (the <br />"Amended and Restated Agreement"); and <br />WHEREAS, in connection with the Amended and Restated Agreement, the Participating <br />Agencies entered into that certain Agreement for Transfer of Fire Services Personnel from the City <br />of San Carlos to the City of Redwood City, dated July 1, 2013 (the "Transfer Agreement"), and <br />certain sections of the Transfer Agreement, including, among others, Section 2.6. l regarding the <br />eligibility of certain employees for the San Carlos longevity incentive benefit, survive and remain <br />in full force and effect; and <br />WHEREAS, the Participating Agencies desire to further amend the Amended and Restated <br />Agreement to improve the quality and level of fire and emergency services to San Carlos and <br />provide greater efficiencies for delivery of such services in the Participating Agencies; and <br />WHEREAS, this contractual arrangement is intended to achieve an effective and efficient <br />delivery of service from Redwood City to San Carlos to the benefit of both Participating Agencies; <br />and <br />WHEREAS, the Participating Agencies desire to formalize their agreement for delivery of <br />fire and emergency services pursuant to this Agreement. <br />AT1Y/AGR/20181AMENDMENTSIAMEND NO.2 SAN CARLOS - RWC FIRE AGREEMENT <br />REV: 04-17-18 JS <br />Page 1 of 32 <br />
