REV: 10-05-23 VR <br />EXHIBIT “A” <br />SCOPE OF SERVICES AND FEE <br />Task 1 – Contract Negotiations <br />The Task 1 services will be provided to the City Attorney’s Office for the City of Redwood <br />City. As such, Consultant’s services will be subject to evidentiary protections under the <br />attorney work product doctrine and/or attorney-client privilege, and all writing <br />communications should be appropriately marked to preserve those protections. <br />Consultant will provide advice as needed for management consulting services for fire <br />department organizational analysis, including, but not limited to: <br />CONTRACT NEGOTIATIONS TO PROVIDE OUTSOURCED FIRE SERVICES <br />Consultant will represent the interests of the City in closing-out negotiations for <br />providing a full-service fire service delivery contract to San Carlos, with best and <br />final offer. <br />Consultant will develop a realistic on-going, verifiable alternate plan to address <br />contingencies of the City not providing outsourced fire service delivery to San <br />Carlos, including but not limited to, impacts of staff retention, revenue reduction, <br />service impacts. <br />Consultant will prepare recommendations to staff and policymakers, as required, <br />to facilitate informed decisions in contracting to San Carlos for outsourcing their <br />fire services, and a contingency plan for the City should the parties not reach <br />agreement. <br />Any delays to internal processes will be communicated with a proposed solution to <br />ensure internal work is as complete as possible given reliance on external parties for <br />critical path elements. <br />Consultant will be paid a flat rate of $9,900 per month that Consultant is providing <br />services under this Task 1. Should City no longer need Consultant's services under <br />this Task 1, Consultant will be paid a pro-rata share of the monthly rate depending on <br />how many days out of the month remain. (For example, if City provides notice it no <br />longer needs Consultant's services on November 15, the City will pay 50% of the flat <br />rate to compensate Consultant for services provided in that month.) <br />The total not to exceed amount for this Task 1 is $60,000. <br />ATTY/AGR.2023.246/Weingerber Consulting (Weingerber Agreement) (Page 11 of 13)
