6.1E Page 45 LICENSE AGREEMENT (License Area 2A - 2206 Broadway) THIS LICENSE AGREEMENT ("Agreement" or "LICENSE") is entered into as of , 2009, by and between: the City of Redwood City, a chartered municipal corporation ("Licensor"), and Froyola LLC doing business as "Froyola Yogurt," hereinafter referred to as "Licensee." RECITALS: A. WHEREAS, on May 3, 2005, the City of Redwood City entered into a 55-year agreement with the County of San Mateo, with an option for up to four 10-year renewal periods,entitled "Cooperative Agreement between the County of San Mateo and the City of Redwood City for Preservation of the Historic County Courthouse Block, Removal of the South Annex, Reconstruction of the Courthouse Fac;ade and Creation of a Courthouse Plaza, and Grant of Easement and License" ("Cooperative Agreement"). B. WHEREAS, the Cooperative Agreement was amended on August 24, 2006 through the First Amendment to the Cooperative Agreement between the County of San Mateo and the City of Redwood City for Preservation of the Historic County Courthouse Block, Removal of the South Annex, Reconstruction of the Courthouse Fac;ade and Creation of a Courthouse Plaza, and Grant of Easement and License ("First Amendment") to expand the Project to include the construction and placement of a restroom facility. c. WHEREAS, the Cooperative Agreement provides the City authority to sublet any or all portions of the Courthouse Square, including licenses to vendors, without the consent of the County for the purposes of maintaining the Courthouse Square as a public plaza. D. WHEREAS, Licensor has possession of that portion of Courthouse Square identified as "License Area "2A" (the "License Areall) described in the legal description and plat map identified as Exhibit "An and illustrated in the site layout identified as Exhibit "B", both exhibits are attached hereto and incorporated herein by reference, which structure is located within Courthouse Square in the City of Redwood City, County of San Mateo, State of California (the "Licensor's Property Interest" and the "Premises"). E. WHEREAS, Licensee wishes to obtain a license to use License Area 2A of the Courthouse Square for the use of 16 tables and 32 chairs provided by the Licensor. F. WHEREAS, Licensor and Licensee wish to enter into an agreement for the use of the Premises by Licensee, its agents, and customers. NOW THEREFORE, the parties agree as follows: 1. GRANT OF LICENSE 1.1 Subject to the terms and conditions set forth herein, Licensor hereby grants to licensee the non-exclusive use of the License Area, measuring 1,362 square feet, only for the purpose of walk-up business, pick ups and deliveries, and A TTY/AGR/2009.082 110309 hli tials Page 1
