REV: 03-25-24 LF WIRELESS COMMUNICATION SITE LICENSE AGREEMENT This Wireless Communication Site License Agreement (“License”) is made as of ____________________ (“Effective Date”), by and between the City of Redwood City, California (“Licensor” or “City”), a charter city and California municipal corporation, and GTE Mobilnet of California Limited Partnership, a California limited partnership, dba Verizon Wireless (“Licensee”) with its principal offices at One Verizon Way, Mail Stop 4AW100, Basking Ridge, New Jersey 07920. Licensor and Licensee are sometimes referred to herein individually as a “Party” and collectively as the “Parties”. RECITALS A.Licensor is the owner of that certain real property located at 750 Marshall St., Redwood City, CA 94063, Assessor’s Parcel Number(s) 052-374-080 and 052-374-190 (the “Property”), such Property being legally described on Exhibit “A”. B.Licensee desires to install, maintain, and operate communications equipment (“Use”) on a portion of the Property consisting of approximately 264 square feet of floor area (“Floor Space”), together with additional space on the roof of the building located on the Property (“Rooftop Space”) as more particularly shown and described on Exhibit “B” (collectively “Licensed Area”). C.Licensor is willing to allow Licensee to use the Licensed Area in accordance with the terms, conditions, and covenants of this License. 1.GRANT OF AUTHORITY. 1.1 Subject to the terms and conditions of this License, Licensor hereby grants to Licensee an exclusive license (which license shall remain irrevocable during the Term (defined below), except to the extent that the License may be revoked or otherwise terminated as expressly set forth herein) to use the Licensed Area for installation and maintenance of certain communications equipment as more particularly described and shown in Exhibit “B” (the “Communications Equipment”). Further, Licensee is granted an exclusive license for use of the Licensed Area, at Licensee’s sole cost and expense, for (i) the transmission and reception of communication signals (a) duly authorized by the Federal Communications Commission (“FCC”) to Licensee or an Affiliate (as defined in Section 4.1 below) of Licensee as of the Effective Date or during the Term, or (b) which Licensee does not require a license from the FCC to transmit or receive, and which communication signals Licensee is permitted to transmit and receive in accordance with all applicable laws, (ii) the construction, maintenance, repair, operation, and replacement of its Communications Equipment within the Licensed Area, and (iii) activities related to any of the foregoing, provided such activities do not require an expansion of the Licensed Area or Communications Equipment or violate Licensee's duties set forth herein, including, without limitation, the right to test, survey the Licensed Area and review title on the Property; the right but not the obligation to add, modify and/or replace Communications Equipment in order to be in compliance with any current or future federal, state or local mandated application, including, but not limited to, emergency 911 communication services, at no additional cost to Licensor ATTY/AGR.2024.027/Verizon Wirelsss (License Agreement) (Page 1 of 46) Site: Box DT Redwood MDG#: 5000369694 Effective Date: 04/19/2024
