REV: 05-01-24 LF <br />2.MAINTENANCE AND RETROFITTING SERVICES. <br />(a) Redwood City shall provide Maintenance Services and Retrofitting Services on <br />an “as needed” basis based upon Fire Equipment manufacturer recommendations <br />and upon request of SAN CARLOS. SAN CARLOS shall deliver its Fire Equipment to <br />the Municipal Services Center for Maintenance Services and/or Retrofitting Services <br />and upon completion thereof, take delivery of said Fire Equipment within a <br />reasonable time. SAN CARLOS is responsible for scheduling Maintenance Services <br />and Retrofitting Services for each vehicle and upon completion of Maintenance <br />Services, Redwood City shall generally indicate the approximate date of the next <br />recommended maintenance service for such vehicle. <br />(b) Further, SAN CARLOS has sole authority and responsibility to schedule or to <br />omit Maintenance Services and Retrofitting Services for any particular motor vehicle <br />or equipment. <br />3.COMPENSATION; COSTS; REVISIONS. SAN CARLOS shall compensate <br />Redwood City for labor furnished hereunder for Maintenance Services and Retrofitting <br />Services at the hourly rate of One Hundred Forty-Seven Dollars and Thirty-Seven Cents <br />($147.37), including common labor, skilled labor, trained mechanic's services or other labor <br />or services necessary or appropriate for furnishing such Maintenance Services and <br />Retrofitting Services, in an amount not to exceed Seventy-Five Thousand Dollars ($75,000) <br />in the initial term. Thereafter, the hourly rate shall increase by 3% on July 1 of each year that <br />this Agreement remains in place. <br />SAN CARLOS shall pay Redwood City for all parts and supplies furnished in connection with <br />such Maintenance Services and Retrofitting Services at the cost thereof to Redwood City <br />plus fifteen percent (15%) for overhead and administrative costs. <br />Redwood City will consult with SAN CARLOS before conducting major repairs exceeding <br />One Thousand Dollars ($1,000.00) for parts and/or Two Thousand Dollars ($2,000.00) for <br />parts and labor combined. <br />Redwood City shall submit monthly billing to SAN CARLOS with a summary sheet and work <br />orders for all work performed, and SAN CARLOS shall pay Redwood City within thirty (30) <br />days of receipt of billing. <br />4.INDEMNIFICATION. <br />(a).Redwood City hereby agrees to defend, indemnify, and save SAN CARLOS <br />and its officers, agents, and employees harmless against and from any and all claims, <br />suits, and actions of every name, kind and description, which may be brought against <br />SAN CARLOS, by reason of any injury to, or death of, any person (including <br />corporations, partnerships and associations) or damage suffered or sustained by any <br />such person arising from, or alleged to have arisen from Redwood City's services <br />provided under this Agreement, except as arising from the sole negligence or willful <br />misconduct of SAN CARLOS. <br />(b).SAN CARLOS hereby agrees to defend, indemnify, and save Redwood City <br />and its officers, agents, and employees harmless against and from any and all claims, <br />ATTY/AGR.2024.058/CITY OF REDWOOD CITY (SAN CARLOS - AGREEMENT FOR FIRE EQUIPMENT MAINTEN) (Page 2 of 5) <br />DocuSign Envelope ID: F15134DA-2781-43A9-8F77-60CF434D1C90
