This provision will survive the expiration or earlier termination of this grant. (8)The Grantee will provide to the Foundation such other information as may be necessary or desirable to permit the Foundation to exercise its responsibility for the supervision of the grant as required by the Internal Revenue Code. (9)Failure to observe any of the grant’s conditions following notice by the Foundation and provided that Grantee does not cure the default as identified by the Foundation within thirty (30) days of the notice date and to the satisfaction of the Foundation will be deemed a default on the part of the Grantee. The unfunded portion of the grant will be forfeited by the Grantee, and, upon demand by the Foundation, the Grantee will repay (a) all funded and unused portions of the grant and (b) any portion of the funded and used grant (up to and including the entire funded amount) that the Foundation reasonably determines to have not been used in accordance with the terms and conditions of the grant. If the foregoing terms are acceptable, please have a duly authorized officer of your organization sign and date this letter of agreement and return it to the Foundation immediately.
