City of Redwood City <br />Grant Agreement #SPPD24100 <br />Exhibit D <br />Page 1 of 2 <br /> <br />EXHIBIT D <br />ADDITIONAL PROVISIONS <br /> <br />1. Termination <br /> <br />GO-LUCI reserves the right to terminate this Agreement without cause upon thirty (30) days <br />written notice to the Fiscal Sponsor and Grantee or immediately in the event of default or <br />material breach by the Fiscal Sponsor Grantee. <br /> <br />2. Insurance <br /> <br />The Fiscal Sponsor and Grantee must maintain through the duration of the Agreement <br />commercial, general liability, automotive liability, and workers’ compensation insurance. <br />The state will not be responsible or liable if for any reason the Fiscal Sponsor or Grantee <br />does not maintain adequate insurance coverage to meet all potential liability risks arising <br />from activities provided pursuant to this Agreement. In addition, the Fiscal Sponsor and <br />Grantee must carry any and all insurance coverage required by law. By signing this <br />Agreement, the Fiscal Sponsor and Grantee certifies that it will be responsible for claims <br />arising from the Fiscal Sponsor and Grantee’s performance of this Agreement or any <br />activities, field trips, outreach, or other events sponsored by the Fiscal Sponsor and <br />Grantee in commence of this Agreement. <br /> <br />3. Property Transfer <br /> <br />GO-LUCI hereby relinquishes any rights and interest to property purchased with Grant <br />funds. <br /> <br />4. Executive Order N-6-22 – Russia Sanctions <br /> <br />On March 4, 2022, Governor Gavin Newsom issued Executive Order N-6-22 (the EO) <br />regarding Economic Sanctions against Russia and Russian entities and individuals. <br />“Economic Sanctions” refers to sanctions imposed by the U.S. government in response to <br />Russia’s actions in Ukraine, as well as any sanctions imposed under state law. <br />All primary Contracts and sub-contractors, primary Grantees, and sub-awardees, agree <br />that they have reviewed Executive Order N-6-22 and attest that they are in compliance with <br />it prior to submitting their response to a solicitation, and prior to entering into a contractual <br />or grant agreement. <br /> <br />GO-LUCI will check the Office of Foreign Assets and Controls Sanctions List to ensure <br />entities are not listed. Any entity found not being in compliance with Executive Order N-6- <br />22 shall have their offer automatically disqualified, or contract or grant voided. <br />By submitting an offer against a solicitation, the Contractor or Grantee represents that the <br />Contractor or Grantee nor any of its sub-contractors or sub-awardees are not a target of <br />Economic Sanctions. <br />
