REV: 07-15-24 VR <br />OFFICE LEASE <br />This Lease, dated as of June 17, 2024 for purposes of reference only, is made and <br />entered into by and between Sequoia Healthcare District (“Landlord”) and the City of <br />Redwood City, fiscal agent for Redwood City Together (“Tenant”). <br />1. Premises and Common Areas Leased. <br />1.1 Effective on the Early Occupation Date, Tenant shall have a limited license <br />to occupy portions of Suite 101 in the Building, as set forth in Section 2.2(a) below. <br />1.2 Effective as of the Full Possession Date, Landlord hereby leases to Tenant <br />and Tenant hereby leases from Landlord, the Premises, preserving to Landlord those rights <br />described in Section 1.3 below and subject to those rules and regulations attached hereto <br />as Exhibit B, and such additional reasonable rules and regulations as Landlord may deliver <br />to Tenant from time to time. The real property on which the Building and associated <br />parking and landscaping are located is referred to herein as the “Site”. <br />1.3 Tenant also shall have the nonexclusive right to use in common with other <br />tenants in the Building the following areas (“Common Areas”) appurtenant to the <br />Premises: <br />(a) The common entrances, hallways, lobbies, restrooms, stairways and <br />access ways and any passageways and service ways thereto; <br />(b) The sidewalks, walkways, parkways, and driveways appurtenant to <br />the Building; and, <br />(c) The Board conference room and the classroom maintained by <br />Landlord. <br />1.4 Landlord reserves the right from time to time so long as reasonable access <br />to the Premises remains available: <br />(a) To remove, install, use, maintain, repair and replace pipes, ducts, <br />conduits, wires and appurtenant meters and equipment for service to other parts of the <br />Building above the ceiling surfaces, below the floor surfaces, within the walls and in the <br />central core areas, and to relocate any pipes, ducts, conduits, wires and appurtenant meters <br />and equipment included in the Premises which are located in the Premises or located <br />elsewhere outside the Premises, and to expand the Building; provided that Landlord shall <br />use commercially reasonable efforts to insure that any such installation, use, maintenance, <br />repair or replacement that is conducted on the Premises does not unreasonably interfere <br />with Tenant's use or quiet enjoyment of the Premises; <br />(b) To make changes to the Common Areas, including, without <br />limitation, changes in the location, size, shape and number of driveways, ingress, egress, <br />direction of traffic and walkways; <br />ATTY/AGR.2024.108/Sequoia Healthcare District (Office Lease Agreement) (Page 4 of 23)
