REV: 07-15-24 VR <br />(b) Landlord shall use commercially reasonable efforts to deliver possession of <br />the Premises to Tenant by the Full Possession Date. If, despite said efforts, Landlord is <br />unable to deliver possession by such date, this Lease shall not be void or voidable, nor shall <br />Landlord be liable to Tenant for any loss or damage resulting therefrom. If possession is <br />not delivered within thirty (30) days after the Full Possession Date, Tenant may at its option <br />cancel this Lease with ten (10) days’ written notice. Landlord and Tenant agree that these <br />terms are reasonable in view of all circumstances existing as of the date of this Lease, and <br />that the actual damages as of the date of this Lease would be impractical and extremely <br />difficult to determine. In the event that the current tenant in the Premises returns possession <br />to Landlord prior to the Full Possession date, Tenant shall be allowed to occupy the <br />Premises upon notice from Landlord. <br />3. Monthly Basic Rent/Rent Increases. <br />3.1 Tenant agrees to pay to Landlord as Monthly Basic Rent for the Premises <br />the Monthly Basic Rent designated in the Summary (“Monthly Basic Rent”), each in <br />advance on the first day of each and every calendar month during said Term. In the event <br />the Term of this Lease starts or ends on a day other than the first or last day of a calendar <br />month, then the rental for such period shall be prorated in the proportion that the number <br />of days this Lease is in effect during such period bears to thirty (30), and such rental shall <br />be paid at the commencement of such period. Monthly Basic Rent and all additional rent <br />including the contribution for operating expenses shall be paid to Landlord, without any <br />prior demand therefor and without any deduction or offset whatsoever in lawful money of <br />the United States of America, at the address of Landlord designated in Paragraph (c) of the <br />Summary or to such other person or at such other place as Landlord may from time to time <br />designate in writing. Further, all charges to be paid by Tenant hereunder, including, <br />without limitation, payments for repairs and other costs and expenses shall be considered <br />additional rent for the purposes of this Lease, and the word “rent” in this Lease shall include <br />such additional rent as well as Monthly Basic Rent, and Operating Rent unless the context <br />specifically or clearly implies that only Monthly Basic Rent, and/or Operating Rent is <br />referenced. <br />4. Security Deposit. <br />4.1 No security deposit is required. <br />5. Use. <br />5.1 Tenant shall use the Premises solely for the management and operation of <br />the Redwood City Together program and purposes incident thereto, including without <br />limitation, workshops, trainings, and meetings, and shall not use or permit the Premises to <br />be used for any other purpose without the prior written consent of Landlord, which consent <br />may be granted or withheld in Landlord's sole discretion. <br />5.2 Except for the normal and proper use and storage of typical cleaning fluids <br />and solutions, and office equipment and general office supplies (such as copier toner), in <br />amounts commensurate with Tenant's use and occupancy of the Premises, Tenant shall not <br />ATTY/AGR.2024.108/Sequoia Healthcare District (Office Lease Agreement) (Page 6 of 23)
