<br />29 <br />Trustee, without the necessity of obtaining the prior consent of the City. The City may not assign <br />any of its rights hereunder. <br /> <br />Section 8.08. Net Contract. <br /> <br />This Installment Purchase Contract shall be deemed and construed to be a net-net-net <br />contract, and the City shall pay absolutely net during the term hereof the Installment Payments <br />and all other payments required hereunder free of any deductions and without abatement, <br />diminution or set-off whatsoever. <br /> <br />Section 8.09. California Law. <br /> <br />This Installment Purchase Contract shall be construed and governed in accordance with <br />the laws of the State of California. <br /> <br />Section 8.10. Amendments. <br /> <br />This Installment Purchase Contract may be amended in writing as may be mutually <br />agreed by the City and the Authority, with the written consent of the Owners of a majority of the <br />aggregate principal evidenced by the Bonds then Outstanding; provided, however, that no such <br />amendment shall (i) extend the payment date of any Installment Payment or reduce the amount <br />of any Installment Payment, or the interest rate applicable thereto, without the prior written <br />consent of the Owner of each Bond so affected, (ii) reduce the percentage of Owners whose <br />consent is required for any amendment hereof without the prior written consent of the-Owners of <br />all Bonds then Outstanding, or (iii) amend this Section without the prior written consent of the <br />Owners of all Bonds then.
