REV: 09-13-24 LF <br />CONSENT TO ASSIGNMENT AGREEMENT BY AND BETWEEN THE CITY OF <br />REDWOOD CITY, RENNE PUBLIC LAW GROUP, LLP AND CALIFORNIA PUBLIC <br />POLICY GROUP, INC <br />This consent to assignment agreement (“Consent Agreement”) is entered into and <br />effective as of 1st day of October, 2024 (“Effective Date”), by and among the City of <br />Redwood City, a charter city and municipal corporation of the State of California, (“City”), <br />Renne Public Law Group, LLP a California limited liability partnership, (“Assignor”) and <br />California Public Policy Group, Inc. a California corporation (“Assignee”) (collectively, the <br />“Parties”). <br />RECITALS <br />A. City and Renne Public Law Group (dba Renne Public Policy Group) <br />previously executed that certain Agreement for Services, dated as of March 17, 2023 <br />(“the Original Agreement”). <br />B. Subsequently, City and Renne Public Law Group (dba Renne Public Policy <br />Group) executed Amendment No.1 to the Original Agreement (“Amendment No.1”), dated <br />as of December 1, 2023. The Original Agreement and Amendment No.1 are collectively <br />known as the “Agreement for Services.” <br />C. Section 25 of the Original Agreement, “Successors and Assigns” provides <br />as follows: “Consultant may not assign this Agreement, nor any part of it, nor any monies <br />due or to become due under it without the prior written consent of City, which City may <br />withhold in its sole discretion.” <br />D. The City has been informed that effective October 1, 2024, Assignor shall <br />transfer its Legislative Advocacy and Grant Services area to Assignee as part of an asset <br />purchase agreement, and as such, Assignee seeks to provide the services to City under <br />the Agreement for Services. <br />E. Assignee desires to obtain City’s consent to the assignment of all rights, <br />obligations and interest in the Agreement for Services from Assignor to Assignee. <br />F. It is the desire of City to formally consent to the assignment by Assignor of <br />all its rights, obligations and interest in the Agreement for Services to Assignee. <br />In consideration of the above referenced recitals and the following mutual <br />covenants, commitments and obligations, the Parties agree, as follows: <br />CONSENT AGREEMENT PROVISIONS <br />1. City hereby consents to the assignment of the Agreement for Services and <br />all of the rights, duties, obligations and interest set forth therein from Assignor to <br />Assignee.
