REV: 09-13-24 LF <br />all the duties and obligations of Assignor to perform specified services included in the <br />Agreement for Services, as it may have been amended from time to time, shall be <br />performed by Assignee after the assignment is complete. <br />2. As of the Effective Date of this Consent Agreement, City acknowledges and <br />relies on this acceptance by Assignee of all of the rights, obligations and interest in the <br />Agreement for Services, and the relinquishment of all such the rights, obligations and <br />interest in the Agreement for Services by Assignor. Assignee agrees to undertake any <br />and all actions necessary to meet the terms and conditions of the Agreement for Services <br />referred to in this Consent Agreement. <br />3. As of the Effective Date of this Consent Agreement, any pending obligations <br />due to City and those which subsequently arise or accrue from the terms and conditions <br />of the Agreement for Services shall become payable by Assignee to the City or its agents, <br />or assigns. <br />4. This Consent Agreement embodies the entire agreement concerning the <br />assignment of the Agreement for Services. No verbal agreements or conversation with <br />any officer, agent or employee of City prior to execution of this Consent Agreement shall <br />affect or modify any of the terms or obligations contained in this Consent Agreement. Any <br />such verbal agreement shall be considered as unofficial information and in no way binding <br />upon City. <br />5. As a condition of the terms of this Consent Agreement, Assignee shall <br />provide the City with the following: <br />a. Certificate of Insurance, as well as all policy endorsements to indicate that <br />Assignee has purchased, and is maintaining, all of the required insurance policies <br />and has provided the required endorsements which were included in the terms and <br />conditions of the Agreement for Services. <br />6. If all Parties agree, electronic signatures may be used in place of original <br />signatures on this Consent Agreement. Each Party intends to be bound by the signatures <br />on the electronic document, is aware that the other Parties will rely on the electronic <br />signatures, and hereby waives any defenses to the enforcement of the terms of this <br />Consent Agreement based on the use of an electronic signature. After all Parties agree <br />to the use of electronic signatures, all Parties must sign the document electronically. <br />The Parties to this Consent Agreement hereby acknowledge and accept the terms <br />and conditions stated herein by the following signatures of their duly authorized <br />representatives. The signature of the duly authorized representative of Assignee confirms <br />its acceptance of the terms and conditions of the Agreement for Services, and the <br />assignment of the Agreement for Services from Assignor. <br />[Signature Page Follows] <br />ATTY/AGR.2024.162/California Public Policy Group Inc.
