Page 1 of 3 <br />City of Redwood City 1017 Middlefield Road, Redwood City, CA. 94063 Tel: 650-780-7000 www.redwoodcity.org <br />STAFF REPORT <br />To the Honorable Mayor and City Council <br />From the City Manager <br />DATE: January 13, 2025 <br />SUBJECT <br />Amendment No. 2 to Hyland Master Software License, Support and Services Agreement <br />RECOMMENDATION <br />By motion, approve and authorize the City Manager to execute Amendment No. 2 to Hyland Master <br />Software License, Support and Services Agreement with Hyland Software, Inc. increasing the not-to- <br />exceed amount by $52,275 and extending the term to May 31, 2025, for a total not-to-exceed contract <br />amount of $282,275 covering the time period January 24, 2018 through May 31, 2025. <br />STRATEGIC PLAN GUIDING PRINCIPLE <br />Excellence in Government Operations <br />BACKGROUND <br />Original Scope of Project <br />On January 24, 2018, the City entered into a three-year Master Software License, Support and Services <br />Agreement with Hyland Software (“Hyland”), as approved by the City Council of Redwood City on January <br />22, 2018, for their Agenda and Contracts Management software, professional services, software <br />maintenance, and support. <br />Previous Amendment <br />On March 25, 2020, Amendment No.1 was executed, extending the original agreement term for three <br />additional years and purchasing additional licenses and training. While the Agreement expired on March <br />24, 2023, the Parties continued to work together to ensure continuation of software maintenance services <br />described under Amendment No.1. <br />6.E. - Page 1 of 57 <br />165
