Page 1 of 3 <br />City of Redwood City 1017 Middlefield Road, Redwood City, CA. 94063 Tel: 650-780-7000 www.redwoodcity.org <br />STAFF REPORT <br />To the Honorable Mayor and City Council <br />From the City Manager <br />DATE: January 13, 2025 <br />SUBJECT <br />Enter Participation Agreement with Dell Marketing L.P. and Licensing and Enrollment Agreements with <br />Microsoft to purchase Microsoft product licenses and support <br />RECOMMENDATION <br />By motion, approve and authorize the City Manager to execute a 36-month Participation Agreement with <br />Dell Marketing L.P. and a Volume Licensing Program Agreement and Enterprise Enrollment Agreement <br />with Microsoft to purchase Microsoft licenses and support in an amount not to exceed $1,000,000. <br />STRATEGIC PLAN GUIDING PRINCIPLE <br />Excellence in Government Operations <br />BACKGROUND <br />This Participation Agreement between the City of Redwood City and Dell Marketing L.P. will facilitate the <br />City’s participation in a broader Microsoft Enterprise licensing framework. The foundational agreements <br />involved are the Microsoft Enterprise Agreement (Master Agreement No. 8084445) between the County <br />of Riverside and Microsoft Corporation, and the Licensing Solution Provider Agreement (LSPA No. PSA- <br />0001524) between Dell Marketing L.P. and the County of Riverside. <br />The City aims to leverage these existing agreements to order specific product licenses, obtain support, <br />and participate as an Enrolled Affiliate, as defined in the LSPA. By entering into this Agreement, Dell <br />Marketing L.P. acknowledges and agrees to the City’s participation as Enrolled Affiliate in accordance with <br />the terms of the Local Service Provider Agreement (LSPA) and the Master Agreement. As an Enrolled <br />Affiliate, the City is authorized to order product licenses, access support, and benefit from the provisions <br />set forth in these agreements. The Agreement is set for a term of 36 months, with a total purchase limit <br />of $1,000,000 for the specified goods and services, detailed in Exhibit A of the Participation Agreement. <br />6.B. - Page 1 of 20 <br />61
