REV: 12-12-24 LF <br />Exhibit “A” <br />Governance Structure <br />Redwood City Together uses a two-tiered governance model described below: <br />Redwood City Together Leadership Council <br />Role: Serves as the policy-making body for the collaborative and takes action after <br />receiving information and recommendations from the Executive Team and the Redwood <br />City Together Executive Director. The Leadership Council sets vision, guides strategy, <br />supports aligned activities, helps advance policy, approves the appointment/termination <br />of the Executive Director and any changes to the Executive Director’s salary, approves <br />the annual budget, approves program initiatives, approves monitoring and evaluation of <br />program implementation, aligns the values and purposes of member organizations and <br />Redwood City Together, and provides resources to sustain and grow the work of the <br />collaborative. In addition, the Leadership Council seeks resources and provides the forum <br />in which issues impacting the community served by Redwood City Together can be raised <br />and addressed in a collaborative manner. <br />Membership: Each Redwood City Together collaborative partner organization is entitled <br />to have up to two members from the policy body of its organization serve on the <br />Leadership Council. These members should be elected or appointed directors, or have <br />equivalent policy level responsibility in their respective organization. Additionally, the two <br />at-large members are entitled to serve on the Leadership Council. <br />Structure: The Leadership Council will annually select a Chair from its members, who <br />will be responsible for leading the meetings of the Leadership Council, serving as liaison <br />between the Leadership Council and the Executive Team, and working with the Executive <br />Director to develop meeting agendas. The Leadership Council Chairperson will serve in <br />that capacity for one year and will be from the same core member organization as the <br />Chairperson of the Executive Team. Each core member organization will have the <br />opportunity for its representatives to lead the Leadership Council and the Executive <br />Team. The Chairperson for the Leadership Council will rotate among core member <br />organizations on an annual basis every August. <br />Meetings: The Leadership Council will meet at least five (5) times annually. Additional <br />meetings will be scheduled as needed. The Leadership Council may choose to have one <br />of these meetings designated as a “joint policy meeting,” in which the Redwood City <br />Together Executive Team and Leadership Council will meet together. The Leadership <br />Council may choose to convene a meeting of the community and program partners that <br />work in Redwood City Together priority areas to share information and receive input about <br />community needs. <br />ATTY/AGR.2024.198/San Mateo County Health (Membership Agreement FY24-26) (Page 7 of 11)
